False, Misleading, or Inaccurate Statements. A representation or warranty contained in Article 3 proves to be false or misleading in a material respect as of the date such representation or warranty was made. Contractor or a Member makes any other material misrepresentation to the Authority in discharging any of its obligations under this Agreement. Additionally, a Contractor Default occurs if any Contractor- provided report contains a misstatement, misrepresentation, data manipulation, or an 1910 omission of fact or content explicitly defined by the Agreement, excepting non- 1911 numerical typographical and grammatical errors. 1912 J. Fraud or Deceit. Contractor or Member practices, or attempts to practice, any fraud 1913 or deceit upon the Authority. 1914 K. Violations of Regulation. Contractor or a Member violates any orders or filings of any 1915 regulatory body having authority over Contractor relative to this Agreement. If 1916 Contractor or a Member contests any such orders or filings by appropriate proceedings 1917 conducted in good faith, and the regulatory body determines no violation occurred, no 1918 breach or Contractor Default of this Agreement shall be deemed to have occurred. 1919 L. Violations of Applicable Law. Contractor or a Member violates Applicable Law 1920 relative to this Agreement. 1921 M. Failure to Pay or Report. Contractor fails to make any payments to Authority required 1922 under this Agreement, including payment of Gate Rate revenues, Commodity 1923 Revenues, and Liquidated Damages, and/or refuses to provide Authority with required 1924 information, reports, and/or records in a timely manner as provided for in the 1925 Agreement. 1926 N. Acts or Omissions. Any other act or omission by Contractor or a Member which 1927 violates the terms, conditions, or requirements of this Agreement, or Applicable Law 1928 and which is not corrected or remedied within the time set in the written notice of the 1929 violation.   • Inaccurate Documents Should any member have reason to believe that there are inaccuracies in documents contained in his/her personnel file, he/she may write a memorandum to the Deputy Chief of the Administrative Subdivision explaining the alleged inaccuracy. The Deputy Chief shall either remove the inaccurate document, or attach the member's memorandum to the document in the file and note thereon the Deputy Chief's concurrence or disagreement with the memorandum's contents. Any dispute regarding a document’s accuracy and/or its removal from the file shall be subject to the grievance procedure.

  • Seller Financial Information If requested by Buyer, Seller shall deliver to Buyer (a) within one hundred twenty (120) days following the end of each fiscal year, a copy of Seller’s annual report containing unaudited consolidated financial statements for such fiscal year (or audited consolidated financial statements for such fiscal year if otherwise available) and (b) within sixty (60) days after the end of each of its first three fiscal quarters of each fiscal year, a copy of such Party’s quarterly report containing unaudited consolidated financial statements for such fiscal quarter. In all cases the statements shall be for the most recent accounting period and shall be prepared in accordance with Generally Accepted Accounting Principles; provided, however, that should any such statements not be available on a timely basis due to a delay in preparation or certification, such delay shall not be an Event of Default so long as such Party diligently pursues the preparation, certification and delivery of the statements.
