Common use of Fair Representation Clause in Contracts

Fair Representation. The Union recognizes its responsibility as the exclusive bargaining agent of all employees in the bargaining unit and agrees to fairly represent each and every employee regardless of whether they are members of the Union. The Union agrees to indemnify the Village for all costs and fees and damages (including but not limited to attorney’s fees) incurred by the Village arising out of a claim that the Union has violated its duty of fair representation.

The Union further agrees to indemnify indemnify, defend and hold harmless the Village and its officials, representatives and agents from any and all claims, demands, suits or other forms ofliability (monetary or otherwise) and for all legal costs and fees and damages (including but not limited to attorney’s fees) incurred by resulting from any claims, demands or suits alleging on the Village arising out part of a claim that the Union has violated a failure to fulfill its duty of fair representation.
