Facility Operation. Seller shall provide staff as may be needed to control, operate and maintain the Facility in a manner consistent at all times with Attachment A. Personnel employed by Seller capable of energizing, operating, maintaining and de-energizing the Facility shall be reachable by mobile telephone or other communication device at all times. Seller shall provide Buyer with and maintain a current emergency contact list for the duration of this PPA. Seller is solely responsible for all operations of the Facility, including asset retirement obligations at the end of the Facility's useful life, including dismantling and decommissioning, and Buyer shall have no responsibility or liability whatsoever for such Facility operation, maintenance, replacement or disposal costs.

Facility Operation. Each Facility shall be operated during the Delivery Term by Seller or an Affiliate of Seller that is under the Control of Seller or such other Person(s) as Seller or the applicable Project Company may contract with from time to time under an agreement for the operation of such Facility; provided that such agreement shall provide Seller with the rights, as a creditor, beneficiary or otherwise, to enforce such agreement so as to ensure compliance with all applicable provisions of this Agreement. The agreement with respect to the operations of such Facility shall require that such Facility be operated in a manner that is in full compliance with the Requirements. Seller shall provide to Buyer a copy of the relevant operations agreement (which may be redacted to remove confidential information of the parties thereto).
Facility Operation. Seller will use, operate and maintain the Thermal Energy Production Facilities and Emergency Electric Generating Facilities in a manner which meets or exceeds good industry practice, and Seller shall secure and maintain, at its sole cost and expense, all permits necessary for the use, operation and maintenance of Buyer's Thermal Energy Production Facilities and Emergency Electric Generating Facilities. As soon as practicable, but in no event later than October 15, 1996, Buyer and Seller shall enter into a definitive operating agreement on terms mutually acceptable to each of them setting forth their respective responsibilities for the use, operation and maintenance of the Thermal Energy Production Facilities and Emergency Electric Generating Facilities.

Facility Operation. Seller shall comply with all Requirements of Law and Good Utility Practice in the operation of the Facility as well as the requirements of MISO, MRO and any New Joint Transmission Authority. Seller shall staff, control and operate the Facility consistent at all times with Good Utility Practices and the Operating Procedures. Personnel capable of starting, operating and stopping the Facility shall be continuously available either at the Facility or capable of remotely starting, operating and stopping the Facility within fifteen (15) minutes. In all cases personnel capable of starting, operating and stopping the Facility shall be continuously reachable by phone or pager or other electronic device.
Facility Operation. Following the Commercial Operations Date, Gevo shall at its sole cost, risk and expense (i) operate and maintain the Facility in accordance with prudent industry practice and in accordance with all Applicable Laws and (ii) operate all loading facilities at the Facility at times and in a manner consistent with customary industry practice (subject to the occurrence of Scheduled Maintenance and Force Majeure Events).
