Facility Information. As of Effective Date and continuing for a period of three months after the Commercial Operation Date, Seller shall promptly provide to Buyer reports relating to the progress of the Facility’s development and construction, financing, interconnection activities and performance under the Interconnection Agreement, testing, Seller’s good faith estimate of the date for occurrence of the Commercial Operation Date, operational activities, and other information that Buyer may request in its Commercially Reasonable discretion to inform Buyer of Seller’s performance under this Agreement. Within ten (10) days after the end of each calendar month until the Commercial Operation Date is achieved, Seller shall prepare and submit to Buyer a written status report which shall cover the previous calendar month, shall be prepared in a manner and format (hard copy or electronic) reasonably acceptable to Buyer and shall include (a) a detailed description of the progress of the Facility’s construction, (b) a statement of any significant issues which remain unresolved and Seller's recommendations for resolving the same, (c) a summary of any significant events which are scheduled or expected to occur during the following thirty (30) days; and, (d) all additional information reasonably requested by Xxxxx. If Seller has reason to believe that the Facility is not likely to timely achieve any Milestone Deadline, including the Commercial Operation Date, Seller shall promptly provide written notice to Buyer with all relevant facts, and will provide Buyer with any other information Buyer may request from Seller in respects to such failure of Seller. Seller shall give written notice to Buyer no later than 30 days before Seller projects that the Facility will achieve Commercial Operation. Seller shall provide written notice to Buyer when the Commercial Operation Date has occurred. Following the Commercial Operation Date, Seller shall promptly provide to Buyer information requested by Buyer to verify any amounts of delivered Product, or to otherwise audit the Product delivered to Buyer. Seller shall, within ten (10) Business Days of electronic or written request provide Buyer with any other information germane to this Agreement and/or Seller’s performance under and compliance with this Agreement, requested by Buyer in its Commercially Reasonable discretion.
Facility Information. The Product is Unit Specific. All Product will be RECs generated from one of the Designated Systems. Seller may not substitute RECs generated from a generator other than a Designated System. Seller represents that, as of the date of each invoice, (i) all RECs Delivered were generated by the Designated Systems; (ii) each Designated System qualifies as a Distributed Renewable Energy Generation Device; (iii) no substitution has occurred between the Size Classes; and (iv) no RECs produced by the Designated Systems were willfully withheld or sold or otherwise transferred to another party prior to Seller Delivering the Maximum Annual Quantity for each applicable Size Class to Buyer. The IPA is the entity responsible for monitoring Seller’s compliance with the foregoing representations and for notifying Buyer and Seller of the IPA’s determination of non-compliance. Seller’s failure to comply with the provisions of this Section 6 shall constitute an Event of Default.
