Facility Costs. The costs for the payment of which the borrowing is being made are Facility Costs and payment of such costs is in accordance with the Facility Budget.
Facility Costs. As of each Funding Date, each PUMA Invoice delivered as of such date for the applicable Tranche is true, correct and complete, and the Facility Company will have paid, or caused to be paid, such PUMA Invoice.

Ribapharm agrees to reimburse ICN for the actual costs and expenses (including reasonable legal fees) reasonably incurred by ICN in connection with the enforcement or attempted enforcement of, or the preservation or attempted preservation of, any of its rights under this Section 2. The Xxxxx Xxxxxx Entities shall pay the actual costs and expenses to the GE Entities for GE Facilities and the GE Entities shall pay the actual costs and expenses to the Xxxxx Xxxxxx Entities for Xxxxx Xxxxxx Facilities (each individually, “Facility Costs”), consistent with the pricing methodology as charged immediately prior to the Closing; provided that if the Provider is required under applicable Law (including to avoid any applicable penalties) to charge any markup or margin in order to provide a Service, a reasonably appropriate markup or margin shall be included in, and increase, the relevant Facility Cost. Facility Costs shall be subject to annual increases consistent with actual increases in charges that (i) GE or Xxxxx Xxxxxx is applying to other GE Entities or Xxxxx Xxxxxx Entities in the same facility or (ii) are being applied by GE or Xxxxx Xxxxxx to similar facilities across each of their businesses.

As of an Initial Funding Date, each MESPSA Initial Invoice delivered as of such date for the applicable Tranche is true, correct and complete, and the Facility Company will have paid, or caused to be paid or otherwise provided for to the reasonable satisfaction of the Investor, such MESPSA Initial Invoice and any other applicable Facility Costs, other than those costs or expenses that are to be paid pursuant to Section 2.6. As of a True Up Funding Date, each MESPSA Final Invoice delivered as of such date for the applicable Tranche is true, correct and complete, and the Facility Company will have paid, or caused to be paid or otherwise provided for to the reasonable satisfaction of the Investor, the corresponding MESPSA Initial Invoice, such MESPSA Final Invoice and any other applicable Facility Costs.

As of the Initial Funding Date, the MESPA Initial Invoice is true, correct and complete, and the Facility Company will have paid, or caused to be paid or otherwise provided for to the reasonable satisfaction of the Investor, the MESPA Initial Invoice and any other applicable Facility Costs, other than those costs or expenses that are to be paid pursuant to Section 2.6. As of the True Up Funding Date, the MESPA Final Invoice is true, correct and complete, and the Facility Company will have paid, or caused to be paid or otherwise provided for to the reasonable satisfaction of the Investor, the MESPA Initial Invoice, the MESPA Final Invoice and any other applicable Facility Costs.
Facility Costs. The Contractor shall be responsible for maintaining facilities in support of the SSAB which include rent, computers, telephone, copier, supplies, and any other office related expenses.
Facility Costs. Conference room facilities must be arranged by the parties. Mediations typically are held at one of counsel's offices. Should a third party facility become necessary, Xxxxxx Mediation can assist in locating a suitable facility; however, the facility fee will be the responsibility of the parties.
Facility Costs. Are cost incurred to pay for physical space including utilities, routine maintenance and repairs, and custodial services.
Facility Costs. The costs Customer shall reimburse Company to install the Facilities is estimated to be six hundred twenty-seven thousand four hundred seventy dollars ($627,470) inclusive of the income tax gross up (“Payment”). Customer shall be responsible for paying all costs associated with the design, engineering, construction, testing and placing in service of the Facilities including, but not limited to, all direct and indirect costs incurred by Company, filing costs, labor costs, easement costs, material costs and cancellation penalities, legal costs, permitting costs, installation, inspection and testing costs, gas lost, Company’s normal and customary overheads, and applicable taxes. Specific details on the estimated facilities costs can be found on the attached Exhibit B. This is only an estimate and in no way limits Customer’s obligation to reimburse Company for all such costs. Terms and conditions agreed to between the parties shall meet the Company’s FERC Gas Tariff provisions including an approved credit application as may be required.
