Facilities Description. “Facilities” means all facilities, pipelines (including natural gas, natural gas liquid and water pipelines), machinery, measurement equipment (including vehicles) and other equipment, accessions and improvements in respect of the foregoing, now or hereafter owned or leased by a member of the Partnership Group, unless ETRN and the Partnership determine to exclude any such assets from being subject to this Agreement (such excluded assets, “Excluded Facilities”).

For any Hydrogen in excess of 1.675 mmscfd (aggregated monthly), the Hydrogen price for such excess Hydrogen shall be $0.55 per 100scf based on a UAN Price of $150.00 per short ton. The Hydrogen price per 100scf shall adjust as of the first day of each calendar month up or down in the same percentage as the Ammonia Price or UAN Price for the immediately preceding calendar month adjusts up or down from $300.00 per short ton or $150.00 per short ton, respectively. -Flow measurement All Hydrogen flows shall be measured by a standard sharp edge orifice plate and differential pressure transmitter located at the Fertilizer Plant. The measured flow shall be pressure and temperature compensated and totalized by the Fertilizer Plant's Honeywell process control computer (TDC 3000) or any replacement computer. All transmitter signals and computer calculations are available to the Refinery through the existing communications bus for verification. Calibration of the transmitter shall be done at least annually and may be done more frequently at Refinery Company's request. Facilities Description. “Facilities” means all gathering pipelines, transportation pipelines, storage tanks, truck racks, terminal facilities, offices and related equipment, real estate and other assets, or portions thereof, conveyed, contributed or otherwise transferred or intended to be conveyed, contributed or otherwise transferred as of the Effective Date to the Partnership or any of its subsidiaries, or owned by, leased by or necessary for the operation of the business, properties or assets of the Partnership or any of its subsidiaries as of the Effective Date. Facilities Description. “Facilities” means all facilities, pipelines, machinery, measurement equipment and other equipment, accessions and improvements in respect of the foregoing, owned or leased by the Company. In addition, if the Company acquires or constructs assets after the Effective Date, the assets directly connected to and constructed to support the operation of the Facilities shall automatically become a part of the Facilities and shall be managed and operated by the Operator under this Agreement. With respect to all other assets acquired or constructed by the Company after the Effective Date, the Parties shall enter into good faith negotiations to determine whether the assets shall be managed and operated by the Operator under this Agreement.

Facilities Description. The City of New Brunswick owns and operates a water supply, treatment, distribution and storage system for the purpose of providing water supply to the residents and businesses in the City and neighboring communities. In general, the system consists of the following: • Four dams that provide water storage impoundments on Xxxxxxxx Xxxxx (known as the Westons Mill Supply) • Two raw water pump stations that convey raw water from Westons Mill Pond and the Delaware & Raritan Canal to the Water Treatment Plant • Water Treatment Facilities that generally consist of the following: o Rapid Mixing Facility o Two Flocculation/Sedimentation Basins o Chlorine Contact Tank o Eight Gravity Filters (One filter is currently out of Service) o A Membrane treatment system consisting of four trains of immersed membranes with a combined firm capacity of 9 MGD o Chemical storage and feed systems consisting of alum, lime, sodium hypochlorite, caustic soda, citric acid and polymer. A sulfuric acid system is currently being made operational o Clearwell storage o High lift pumping and Emergency High Lift Pumping o Stand-by Power o SCADA System o Potassium permanganate is also fed at the D/R Canal Raw Water Pumping Station • Three water storage tanks with a combined capacity of 3.15 MG • Interconnections with adjoining water systems (includes bulk supply to Franklin Township and Milltown; emergency supply connections with East Brunswick and North Brunswick) • Water distribution system throughout the City with mains ranging in size from 4" to 24." The piping network is predominantly cast iron and ductile iron pipe. SCHEDULE B BASIC SERVICES AWO&M shall provide Operations Support and Management Services (OSMS) of the Facilities. On average, the Water Treatment Plant provides approximately 12 MGD supply to the City, Milltown and Franklin Township (through the Landing Lane Pump Station). In general, basic services provided under the OSMS agreement shall include the following: • Provide the services of a T-4 NJ Licensed operator and one back-up on-call T-4 Operator to manage the operations of the City's Raw Water Pump Stations and Water Treatment Plant. • Provide the services of a W-4 NJ Licensed operator and one back-up on-call W-4 Operator to oversee the operations of the City's water distribution operations.
