Facilities and Staff. The Company will provide Executive with the working facilities and staff customary for similar executives and necessary for him to perform his duties.
Facilities and Staff. Vendor will have and maintain adequate facilities, equipment and a duly qualified staff as necessary to perform the Services in an efficient, professional and timely manner and as described in the applicable Statement of Work.

Throughout the term of this Agreement Xbeam --------------------- shall maintain the facilities and a staff of competent sales, marketing, technical and support personnel reasonably necessary to properly market, service and support the Ad Services in the Territory. ADSmart shall not be responsible for any performance failures significantly due to Xbeam's facilities or staff. Xbeam shall be solely responsible for upgrades required by any third party hardware, software and communications systems listed in Schedule A as well as ---------- staying current on all third party hardware, software and communications systems listed in Schedule A. If the equipment, staff, facilities and personnel are not ---------- sufficient for ADSmart to fulfill its obligations then the penalty in Section 6.2 will not be applied.

Facilities and Staff. Distributor will acquire and maintain the facilities and staff that it in its sole discretion deems appropriate to effectively market and sell the Products throughout the Territory.
Facilities and Staff ev3 will acquire and maintain the facilities and staff that the parties deem appropriate to effectively market the Products throughout the Direct Territory. ev3 will provide six months’ notice to MTI of its intent to conduct direct selling activities within any country located in the Distributor Territory. ev3 may, in its sole discretion, terminate any distributor in such country, provided that such termination will not cause MTI to have any termination liability. In the event ev3 is unable to terminate such distributor without causing termination liability to MTI, MTI may either (i) terminate its distributor in such country and add such country to the Direct Territory or (ii) maintain its distributor in such country. In the event MTI determines to maintain a distributor in such country, ev3 will continue to manage such distributor in accordance with this Agreement.
Facilities and Staff. Davox recommends that Distributor possess and -------------------- maintain facilities and staff that will allow it to effectively market the Products throughout the Territory. It is required that Distributor establish and implement appropriate training programs for its staff C. DEMONSTRATION PRODUCT. Distributor will order from Davox the Products --------------------- specified in Exhibit 1, and defined as demonstration product (the "Demonstration Product") in accordance with the terms contemplated in this Agreement. Distributor will not sublicense, assign, allow third party use of, or act as a service bureau, or otherwise transfer the Demonstration Product to any person without Davox's prior written approval. At all times, following the initial training as described in Section 4(d), it shall be Distributor's responsibility to install and maintain all Demonstration System(s) and updates thereto, itself.
