Exterior Building Sign. Subject to the terms and conditions set forth in this Section 4.6 and so long as Tenant occupies at least fifty percent (50%) of the rentable square feet of the Premises, Tenant shall have the exclusive right to install, at Tenant's sole cost and expense, Building exterior signs (collectively, the "Exterior Signs") to the extent permitted by the Requirements and the REA. Landlord shall have the right to approve the material, typeface, graphic format, proportions, precise location, size, content, design of the Exterior Signs, such approval not to be unreasonably withheld, conditioned or delayed. Landlord shall also have the right to reasonably approve the location of all penetrations and runs, cabling installations, and means of affixing or mounting of the Exterior Signs to the Building. Any electrical power required for the Exterior Signs shall be charged to Tenant. Tenant shall pay all federal, state and local taxes applicable to the Exterior Signs . Tenant assumes all liability and risks relating to damage to the Exterior Signs from any cause whatsoever, except to the extent caused by the gross negligence or willful misconduct of Landlord

Exterior Building Sign. After the Second Additional Premises Commencement Date, in the event that Tenant is then leasing at least 17,892 rentable square feet of space in the Building and Tenant is then in occupancy of at least 13,419 rentable square feet of space in the Building, Tenant, at Tenant’s sole cost and expense, shall have the non-exclusive right to install one (1) exterior building sign (the “Exterior Building Sign”) containing Tenant’s name and/or Tenant’s corporate logo. The Exterior Building Sign shall be located on the parapet of the Building in a location approved by Landlord and Tenant, which approval by Landlord and Tenant shall not be unreasonably withheld, conditioned or delayed. Tenant shall install the Exterior Building Sign provided that (i) the Exterior Building Sign is permitted under, and conforms to, any covenants, conditions or restrictions affecting the business park of which the Building is a part and any applicable laws, rules and regulations, including the requirements of the City of Durham, Durham County and the State of North Carolina, and (ii) Tenant has obtained all permits, licenses and approvals that may be required in order to install the Exterior Building Sign, including without limitation the approval of any owners association with respect to the business park of which the Building is a part. The exact size, style, design, dimensions and other components of the Exterior Building Sign shall be subject to Landlord’s approval. Landlord reserves the right to approve in its sole discretion the manner in which the Exterior Building Sign is affixed to the Building. In order to obtain Landlord’s approval, Tenant must submit to Landlord for Landlord’s approval samples of materials to be used for the Exterior Building Sign (showing, among other things, the thickness thereof), samples of any colors to be used for the Exterior Building Sign, complete shop drawings of the Exterior Building Sign and plans and specifications for the actual construction and attachment of the Exterior Building Sign. The Exterior Building Sign shall be installed by a contractor reasonably approved by Landlord and maintained by a contractor reasonably acceptable to Landlord. On or before the end of the Term, or in the event that Tenant assigns this Lease, or in the event Tenant is no longer leasing at least 17,892 rentable square feet of space in the Building, or in the event Tenant is no longer in occupancy of at least 13,419 rentable square feet of space in the Building, T...
Exterior Building Sign. Subject to the terms and conditions set forth in this Section 4.6 and so long as Tenant (either the Original Tenant or a Permitted Assignee) occupies at least fifty percent (50%) of the rentable square feet of the Premises, Tenant (either the Original Tenant or a Permitted Assignee) shall have the right to install, at Tenant’s sole cost and expense, Building exterior signs (collectively, the “Exterior Signs”) to the extent permitted by the Requirements and the REA. Landlord shall have the right to approve the material, typeface, graphic format, proportions, precise location, size, content, design of the Exterior Signs, such approval not to be unreasonably withheld, conditioned or delayed; provided that Landlord hereby approves the installation of an Exterior Sign which substantially conforms to the specifications and design attached hereto as Exhibit H. Exterior Building Sign. In the event that tenant leases at least 24,244 rentable square feet of office space in the building, and tenant has not sublet fifty percent (50%) or more of the premises initially leased by tenant pursuant to this lease, Tenant, at Tenant's sole cost and expense (it being expressly understood, however, that Tenant may use a portion of the Improvement Allowance against costs and expenses incurred by Tenant in connection with the installation of the Exterior Building Sign [hereinafter defined]), shall have the non-exclusive right to install one (1) exterior, back-lit building sign at the Building (the "Exterior Building Sign") containing Tenant's name and/or Tenant's corporate logo. The location of the Exterior Building Sign is more particularly set forth on the attached Exhibit E, provided, however, that such location shall be subject to the Applicable Signage Laws (hereinafter defined). Tenant shall install the Exterior Building Sign provided that (i) Landlord has approved the Exterior Building Sign, the method of installation of the Exterior Building Sign and the contractor that will install the Exterior Building Sign, which approvals shall not be unreasonably withheld, conditioned or delayed, (ii) the Exterior Building Sign is permitted under, and conforms to, any covenants, conditions or restrictions affecting the Project and any applicable laws, rules and regulations, including the requirements of the City of Rockville, Xxxxxxxxxx County, the State of Maryland and the King Farm Comprehensive Sign Plan (collectively, the "Applicable Signage Laws"), and (iii) Tenant has obtained all permits, licenses and approvals that may be required in order to install the Exterior Building Sign, including without limitation the approval of any owners association with jurisdiction over the Project. The exact size, style, design, dimensions and other components of the Exterior Building Sign shall be subject to Landlord's approval, which approval shall not be unreasonably withheld, conditioned or delayed and the requirements of the Applicable Signage Laws. Exterior Building Sign. Landlord hereby acknowledges and agrees that as of the Effective Date of this Sixth Amendment, Tenant retains the right to install the Exterior Building Sign, subject to, and in accordance with, the provisions of Paragraph 10 of the Fifth Amendment (captioned, "Exterior Building Sign"). After Landlord has approved Tenant's proposed Exterior Building Sign and the contractor retained by Tenant to install the Exterior Building Sign, all in accordance with the terms of Paragraph 10 of the Fifth Amendment, Landlord shall, if requested in writing by Tenant and at Tenant's sole cost and expense, obtain on Tenant's behalf, all necessary governmental permits, licenses and approvals required for the installation of the Exterior Building Sign. If applicable, Tenant shall cooperate with Landlord, at Tenant's sole cost and expense, in connection with Landlord's efforts to obtain such permits, licenses and approvals.
Exterior Building Sign. Tenant shall have the right, at Tenant’s election, to place two (2) signs on the exterior of that portion of the Building where Tenant’s business in conducted, one on the Building facing Emerald St and one on the Building facing Meadowland Drive, unless otherwise approved by Landlord, and subject to City Codes. The location, size, design (including, without limitation, lettering, logos, color, materials, and method and amount of illumination) and installation (including, without limitation, location of any wall penetration and method of fastening) of the sign shall be subject to the prior written approval of Landlord, which approval will not be unreasonably withheld or delayed. Tenant shall submit to Landlord, prior to fabrication or installation of the sign, copies of detailed drawings and specifications for such. Tenant’s signage shall always conform to governmental restrictions, limitations, or prohibitions. Tenant is solely responsible to ensure its signage is in compliance with any restriction, limitation, or prohibition imposed by any governmental unit. Tenant shall modify its signage at its own expense when required to conform to such regulation. Tenant acknowledges that approval by Landlord of Tenant’s signage does not constitute any representation as to conformance with any existing or future governmental regulation. The sign shall be fabricated, installed, maintained and illuminated at Tenant’s sole cost and expense, and the sign and installation thereof shall be in compliance with all governmental requirements, including building and electrical codes. Tenant shall not place any other signs on the exterior of the Building. Tenant shall not affix any sign to the roof of the Leased Premises. Tenant shall indemnify, defend, protect and hold Landlord harmless from any acts or omission of Tenant’s sign contractors. Landlord reserves the right to place signs on the exterior of the Building provided such signs do not interfere with Tenant’s sign. If the Building has sign criteria which has been provided to Tenant prior to signing this Lease, Tenant shall cause any Tenant sign to be in compliance therewith. If Landlord enacts sign criteria after the Tenant has installed its signs, Tenant will comply so long as it is no expense to Tenant and permit’s Tenant’s standard sign package, if any. Landlord shall provide a junction box above tenant’s front space and Tenant shall pay to hook-up the sign.
Exterior Building Sign. (i) As of the date hereof, Landlord does not permit any tenant to have signage on the exterior of the Building. If Landlord, in its sole discretion, decides to allow tenants occupying office space in the Building to have exterior building signage, Tenant, at its cost and subject to the remaining terms of this Article 14.3, may install a sign with its name and logo on the exterior facade of the Building ("Tenant's Exterior Sign").

  • Building Signage After the conditions set forth in Sections 36 and 37 are satisfied, Subtenant shall have the right, at its sole cost and expense, to have Primary Landlord erect and maintain signage inside and outside the Building as permitted by Primary Landlord, and provided that such signage complies with the standard graphics used on the Building signage. Subtenant has the right to request the removal of all signs bearing Sublandlord's name (except for signage relating to the Building's name, "Magna Place"), in which event such signs shall be removed by Primary Landlord at Sublandlord's sole cost and expense within a reasonable period of time after Subtenant's request, except to the extent such signs relate to any use or occupancy of the Building by Sublandlord as of the Commencement Date. Notwithstanding anything to the contrary in this Sublease or the Primary Lease, in no event shall Sublandlord or the Primary Landlord be required to reimburse Subtenant for any costs or expenses incurred by Subtenant in connection with any change in the name or address of the Building. Notwithstanding anything to the contrary in this Section 23, prior to the satisfaction of the conditions set forth in Sections 36 and 37 of this Sublease, (a) Primary Landlord shall, within a reasonable period of time after the date of this Sublease, at Subtenant's expense, cause Subtenant to be included on all tenant directories for the Building (excluding the exterior monument signage), and (b) Subtenant shall have the right, at its sole cost and expense, to have Primary Landlord erect and maintain signage outside the Building directing vehicular traffic to the parking facilities for the Subleased Premises, all such signage to comply with the standard graphics used on the Building signage.

  • Exterior Signage Provided Tenant is then in compliance with the below-listed conditions, Tenant shall have the non-exclusive right at its sole cost and expense, to install, maintain, repair and replace one (1) tenant illuminated (if and to the extent permitted by law) identification sign consisting of the name of Tenant (the “Exterior Signage”) (which shall be for the exclusive use of Tenant) on the exterior of the Building in a location to be designated by Landlord and approved by Tenant, which approval shall not be unreasonably withheld, conditioned, or delayed, provided that (a) no Monetary Default of Tenant has occurred hereunder and is then continuing, and (b) such Exterior Signage is in compliance with all applicable laws, codes and ordinances, and Tenant has obtained all governmental permits and approvals requited in connection therewith, and (c) Tenant is leasing and occupying at least 25,000 rentable square feet of space in the Building throughout the Lease Term. The size and the appearance of the Exterior Signage shall be subject to the prior approval of Landlord, which approval shall not unreasonably be withheld, conditioned or delayed. The installation, maintenance and removal of such Exterior Signage shall be performed at Tenant’s expense in accordance with the terms and conditions governing alterations pursuant to Section 9 of the Lease. Notwithstanding the foregoing provisions of this Section XI to the contrary, within thirty (30) days after the date on which (i) there occurs, and remains uncured, a Monetary Default of Tenant (beyond applicable notice and period of cure), (ii) Imprivata, Inc. (or an Affiliate or successor to Tenant by Ownership Change) is no longer leasing at least 25,000 rentable square feet in the Building, or (iii) the Term of the Lease expires or is terminated, then Tenant shall, at its cost and expense, remove the Exterior Signage and restore all damage to the Building caused by the installation and/or removal of such Exterior Signage, which removal and restoration shall be performed in accordance with the terms and conditions governing alterations pursuant to Section 9 of the Lease. The right to the Exterior Signage granted pursuant to this Section XI is personal to Imprivata, Inc. (and its Affiliates or successor to Tenant by Ownership Change) and may not be exercised by any occupant, subtenant, or other assignee of Imprivata, Inc., other than an Affiliate or successor to Tenant by Ownership Change. Landlord shall cooperate with Tenant’s efforts to obtain any permit or approval required or desirable in connection with the installation of the Exterior Signage, and Tenant shall reimburse Landlord for its reasonable third party out-of-pocket costs incurred in connection with providing such cooperation.

  • Base Building “Base Building” means the Building Structure and Mechanical Systems, collectively, defined as follows:

  • Exterior Signs Subject to the approval of all applicable governmental and quasi-governmental entities, and subject to all applicable governmental and quasi-governmental laws, rules, regulations and codes and any covenants, conditions and restrictions affecting the Real Property, Landlord hereby grants Tenant (i) the exclusive right to have one (1) Building exterior identification sign containing the name “AltheaDx” in a location on the face of the Building designated by Landlord, (ii) the non-exclusive right to have one (1) exterior sign containing the name “AltheaDx” on the back side wall of the Building in the front main lobby area near the entry to the Premises, and (iii) the non-exclusive right to have one (1) sign containing the name “AltheaDx” on the monument sign serving the Building (the “Monument Sign”) (collectively, the “Exterior Signs.”) The design, size, specifications, graphics, materials, manner of affixing, exact location, colors and lighting (if applicable) of Tenant’s Exterior Signs shall be (i) consistent with the quality and appearance of the Project, (ii) subject to the approval of all applicable governmental and quasi-governmental authorities, and subject to all applicable governmental and quasi-governmental laws, rules, regulations and codes and any covenants, conditions and restrictions affecting the Real Property, and (iii) subject to Landlord’s approval (which shall not be unreasonably withheld, conditioned or delayed). Landlord shall install Tenant’s Exterior Signs at Tenant’s sole cost and expense. In addition, Tenant shall be responsible for all other costs attributable to the fabrication, insurance, lighting (if applicable), maintenance, repair and removal of Tenant’s Exterior Signs. The signage rights granted to Tenant under this Section 24.8.2 are personal to the Original Tenant and may not be exercised or used by or assigned to any other person or entity. In addition, Original Tenant shall no longer have any right to Tenant’s Exterior Signs if at any time during the Term the Original Tenant does not lease and occupy the entire Premises then leased by Tenant hereunder. Upon the expiration or sooner termination of this Lease, or upon the earlier termination of Tenant’s signage rights under this Section 24.8.2, Landlord shall have the right to permanently remove Tenant’s Exterior Signs from the Building and/or the Project and to repair all damage to the Building and/or the Project resulting from such removal and restore the affected area to its original condition existing prior to the installation of such Exterior Signs, and Tenant shall reimburse Landlord for the costs thereof.

  • Building With respect to each parcel of Real Estate, all of the buildings, structures and improvements now or hereafter located thereon. Business Day. Any day on which banking institutions located in the same city and State as the Agent’s Head Office are located are open for the transaction of banking business and, in the case of LIBOR Rate Loans, which also is a LIBOR Business Day.

  • Exterior Tenant shall not place or cause to be placed on the exterior of the Premises, or visible from the exterior of the Premises, or upon the roof or on any exterior door or wall or on any part of the Common Areas, any sign, awning, canopy, marquee, advertising matter, decoration, lettering, or any other thing of any kind (exclusive of the signs, if any, which may be provided for in the Tenant Improvements), without the prior written consent of Landlord.
