Extension or Amendment. The Borrower will not, except as otherwise permitted hereunder or by law, extend, amend or otherwise modify, or permit the Servicer to extend, amend or otherwise modify, the terms of any Dealer Agreement, Loan or Contract; provided, however, the Dealer Agreements may be amended in connection with the closing of or opening of a pool.

(i) Extend, terminate, waive, amend or otherwise modify the terms of any Pledged Student Loan except in accordance with the express provisions of the applicable Servicing Agreement or except solely in connection with waiving any De Minimis Amount pursuant to the provisions of Section 7.03(a) or in accordance with any Reduced Rate Program, (ii) terminate, waive, amend or otherwise modify the terms of any Servicing Agreement (including, without limitation, any amendment, restatement, supplement or modification to a Servicing Agreement that would reduce the frequency of deposits to the Collection Account), (iii) terminate, waive, amend or otherwise modify the terms of any Purchase and Sale Agreement, (iv) terminate, waive, amend or otherwise modify the terms of the Custodial Agreement or consent to the assignment by the Custodian of its rights, or the delegation by the Custodian of its obligations, under the Custodial Agreement or (v) terminate, waive, amend or otherwise modify any other Transaction Document, in each case to which it is a party.
