CONSENTS, CONTRACTOR’S WARRANTY AND DUE DILIGENCE The Contractor shall ensure that all Necessary Consents are in place to provide the Services and the Council shall not (unless otherwise agreed) incur any additional costs associated with obtaining, maintaining or complying with the same. Where there is any conflict or inconsistency between the provisions of the Contract and the requirements of a Necessary Consent, then the latter shall prevail, provided that the Contractor has made all reasonable attempts to obtain a Necessary Consent in line with the requirements of the Services. The Contractor acknowledges and confirms that: it has had an opportunity to carry out a thorough due diligence exercise in relation to the Services and has asked the Council all the questions it considers to be relevant for the purpose of establishing whether it is able to provide the Services in accordance with the terms of the Contract; it has received all information requested by it from the Council pursuant to Condition 4.3(a) to enable it to determine whether it is able to provide the Services in accordance with the terms of the Contract; it has made and shall make its own enquiries to satisfy itself as to the accuracy and adequacy of any information supplied to it by or on behalf of the Council pursuant to Condition 4.3(b); it has raised all relevant due diligence questions with the Council before the Commencement Date; and it has entered into the Contract in reliance on its own due diligence. Save as provided in the Contract, no representations, warranties or conditions are given or assumed by the Council in respect of any information which is provided to the Contractor by the Council and any such representations, warranties or conditions are excluded, save to the extent that such exclusion is prohibited by law. PARTNERSHIP ARRANGEMENTS The Partners enter into these Partnership Arrangements under section 75 of the XXX Xxx 0000 to provide integrated health and social care services to better meet the needs of the Service Users of East Lancashire than if the Partners were operating independently. The specific Aims and Outcomes of the Partnership Arrangements are described in Schedule 1. The Partnership Arrangements shall comprise delegation by the Authority to the Trust of the Authority Functions, so that it may exercise the Authority Functions alongside the NHS Functions and act as provider of the Services described in Schedule 2 The Trust shall appoint a nominated officer, who shall be responsible for: managing the budget for the Services on behalf of the Partners; managing expenditure relating to the Services within the budgets set by the Partners and in accordance with the Annual Development Plan; and submitting quarterly reports and an annual return to the Partners, to enable them to monitor the success of the Partnership Arrangements. The Trust is satisfied that the Partnership Arrangements fulfil the objectives set out in the Health Improvement Plan. Nothing in this Agreement shall prejudice or affect: the rights and powers, duties and obligations of the Partners in the exercise of their functions as public bodies or in any other capacity; the powers of the Authority to set, administer and collect charges for any Authority Health-Related Function; or the Authority's power to determine and apply eligibility criteria for the purposes of assessment under the Community Care Xxx 0000.
