Export Restrictions; Compliance with Laws. Licensee will not, directly or indirectly, export or transmit the SOFTWARE or Documentation to any country to which such export or transmission is restricted by any applicable law, regulation or statute, without the prior written consent, if required, of the Bureau of Export Administration of the U.S. Department of Commerce or such other governmental entity as may have jurisdiction over such export or transmission. Licensee agrees to comply with and conform to all applicable laws, regulations, ordinances, and executive orders relating to Licensee’s use of the SOFTWARE.

Export Restrictions; Compliance with Laws. (a) You represent and warrant that you: (i) are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) are not listed on any U.S. Government list of prohibited or restricted parties. You acknowledge that the Product may be subject to the export and import laws of the U.S. and other countries. You agree to comply with all international and national laws that apply to the Product, including the U.S. Export Administration Regulations and all end-user, end-use and destination restrictions issued by U.S. and other governments.
Export Restrictions; Compliance with Laws. Licensee shall not, and shall not cause or allow any third parties to, export, re-export, or transfer, directly or indirectly, any of the SOFTWARE or Documentation to any country or user to which such export, re-export, or transfer is restricted by the laws or regulations of any country without first obtaining all required governmental licenses, authorizations, certifications, and approvals and consulting with Ixia to determine if export authorization is required for that end user or destination. Licensee agrees that authorization is required for such exports, re-exports, and transfers unless Ixia represents to Buyer in writing that no such authorization is required. Failure of Ixia to respond to any such inquiry shall not be taken as a representation by Xxxx that no such governmental approval is required. Ixia shall be under no obligation to respond to such inquiries from Licensee or to respond to such inquiries in any particular timeframe. Licensee agrees to comply with all applicable laws, regulations, ordinances, and executive orders relating to Licensee's use of the SOFTWARE and the Documentation.
Export Restrictions; Compliance with Laws. Licensee represents that it is not listed on a U.S. Government restricted party list for export control or trade sanctions purposes, including the Specially Designated Nationals list administered by the Office of Foreign Assets Control and the Entity List, Denied Persons List and Unverified List administered by the Bureau of Industry and Security, and is not 50% or more owned, in the aggregate, by one or more restricted parties. Any Software or Documentation provided under this XXXX may be subject to U.S. export controls. Licensee agrees that it shall not export, re-export, or transfer, directly or indirectly, any Equipment or Confidential Information to any restricted party, to any region subject to U.S. embargo or comprehensive sanctions (currently, Cuba, Iran, North Korea, Sudan, Syria, and Crimea), or for any end use prohibited by Section 744 of the U.S. Export Administration Regulations (e.g., chemical/biological weapons, nuclear, and missiles), without obtaining any required prior authorization from the U.S. government.

The Parties shall comply with all applicable laws and regulations including, but not limited to, safety; security; export control; environmental; and suspension and debarment laws and regulations.   • EXPORT RESTRICTIONS EXPORT OF THE SOFTWARE IS PROHIBITED BY UNITED STATES LAW. DIVERSION CONTRARY TO U.S. LAW IS PROHIBITED. The Fund hereby authorizes Custodian to report its name and address to government agencies to which Custodian is required to provide such information by law.

Except as would not, individually or in the aggregate, reasonably be likely to have a Company Material Adverse Effect, the Company and its Subsidiaries possess each permit, license, certification, approval, registration, consent, authorization, franchise, concession, variance, exemption and order issued or granted by a Governmental Entity (collectively, “Licenses”) necessary to conduct their respective businesses, since the Applicable Date have been in compliance with all terms and conditions of such Licenses, no such Licenses are subject to any actual or possible revocation, withdrawal, suspension, cancellation, termination or modification, and since the Applicable Date have not received written notice from any Governmental Entity alleging a conflict with or breach of any License. Notwithstanding the foregoing, this Section 5.1(j) shall not apply with respect to Taxes, which shall be covered exclusively by Section 5.1(n) or Environmental Laws, which shall be covered exclusively by Section 5.1(m).

The consummation of the transactions contemplated hereby will not cause the revocation or cancellation of any Company Permit that is material to the Company and its Subsidiaries, taken as a whole.
