Export Assurance Sample Clauses

Export Assurance. Use and re-export of SPEC's software and related technical information is subject to the Export Administration Regulations (EAR) of the United States Department of Commerce. USER hereby agrees that USER (a) assumes responsibility for compliance with the EAR in its use of the software and technical information, and (b) will not export, re-export, or otherwise disclose directly or indirectly, the software, technical data, or any direct product of the software or technical data in violation of the EAR.

Export Assurance. Regardless of any disclosure made by HKIS to T/R of any ultimate destination of a Deliverable or any System assembled using same, HKIS shall not export or re-export directly or indirectly the Deliverable or any System assembled using same, without first obtaining the required written approval or export license, if any, to do so from the United States Department of Commerce or any other agency of the U.S. Government having jurisdiction over such transaction. HKIS hereby assures T/R that it does not intend to nor will it knowingly, without the prior written consent, if required, of the Office of Export Administration of the U.S. Department of Commerce, transmit or ship the Deliverable or any System assembled using same, directly or indirectly, to any country as to which such export is made unlawful as provided in laws or by regulations issued by the U.S. Department of Commerce, or other such regulations as may be adopted from time to time.
Export Assurance. Notwithstanding anything contained herein to the contrary and regardless of any disclosure made by Customer to MPOWER of any ultimate destination of the MPOWER Software, Customer shall not export or re-export directly or indirectly the MPOWER Software acquired from MPOWER, or any technical data derived therefrom, without first obtaining the written approval or required export license to do so from the United States Department of Commerce or any other agency of the United States Government or of any foreign government having jurisdiction over such transaction, when required by an applicable statute, regulation or order. Customer hereby assures MPOWER that it does not intend to nor will it knowingly, without the prior written consent, if required, of the Office of Export Administration of the U.S. Department of Commerce, Washington, DC, transmit or ship the MPOWER Software or any modifications thereto or product thereof, directly or indirectly, to Afghanistan or to the Peoples Republic of China or to any Group Q, S, W, Y or Z country specified in Supplements to Section 370 of the Export Administration Regulations issued by the U.S. Department of Commerce, as may be amended from time to time, or any other applicable regulation.
Export Assurance. Regardless of any disclosure made by MINOLTA to T/R of any ultimate destination of a Deliverable or any System assembled using same, MINOLTA shall not export or reexport directly or indirectly the Deliverable or any System assembled using same, without first obtaining the required written approval or export license, if any, to do so from the United States Department of Commerce or any other agency of the U.S. Government having jurisdiction over such transaction. MINOLTA hereby assures T/R that it does not intend to nor will it knowingly, without the prior written consent, if required, of the Office of Export Administration of the U.S. Department of Commerce, transmit or ship the Deliverable or any System assembled using same, directly or indirectly, to any country as to which such export is made unlawful as provided in laws or by regulations issued by the U.S. Department of Commerce, or other such regulations as may be adopted from time to time. T/R shall obtain the list of above countries from the Office of Export Administration of the U.S. Department of Commerce and shall provide MINOLTA with such list from time to time.
Export Assurance. HBOC hereby acknowledges and agrees that it will first obtain any export license or approval required by the United States Department of Commerce pursuant to Section 370 of the Export Administrative Regulation prior to exporting the BP Software.

Export Assurance. Irrespective of any disclosure Borrower or any Subsidiary may make to Agent or the Lenders of any ultimate destination for any software products licensed, sold or distributed by Borrower or any Subsidiary, Borrower and its Subsidiaries shall not export or re-export, directly or indirectly, any software products or any technical data derived therefrom, without first obtaining all necessary approvals or required export licenses to do so from the United States Department of Commerce or any agency of the United States Government or of any Other Nation or Governmental Authority having jurisdiction over such transaction, if required by an applicable statute, regulation, order, judgment or decree. Borrower represents, warrants and covenants to Agent and the Lenders that Borrower and its Subsidiaries do not intend to and shall not, without the prior written consent (if required) of the "Office of Export Administration of the U.S. Department of Commerce", Washington, D.C. 20230, transmit or ship any software products or modifications thereto or products thereof, directly or indirectly to the Peoples Republic of China or to any group Q, S, V, Y or Z country specified in Section 770 of the Export Administration Regulations or any Supplements thereto issued by the U.S. Department of Commerce, as amended, supplemented or replaced from time to time.

Export Assurance. Licensee agrees and certifies that none of the Software, Documentation, underlying information or technology, or any direct products thereof, will be downloaded or otherwise exported or re-exported (i) into, or used by a national or resident of, Cuba, Iran, Iraq, Libya, North Korea or any other country to which the United States embargoes goods, or (ii) to the Bosnian Serbs or to anyone on the United States Treasury Department's list of Specially Designated Nationals or the United States Department of Commerce's Table of Deny Orders. By downloading or using the Licensed Product, Licensee represents and warrants that Licensee is not located in, under the control of, or a national or resident of any such country or on any such list.
