Experience and Knowledge. Seller acknowledges and agrees that he (i) has extensive knowledge and experience in financial and business matters; (ii) has had access to all information as to the Company as it has desired; (iii) has made its own inquiry and investigation into, and, based thereon, has formed an independent judgment concerning the operations of the Company, its business and prospects; and (iv) has received sufficient and satisfactory answers to all questions posed to the Company to evaluate the merits and risks of the transactions contemplated by this Agreement.
Experience and Knowledge. The Stockholder: (a) has sufficient knowledge and experience in business and financial matters and with respect to investment in restricted securities so as to enable it to analyze and evaluate the merits and risks of the investment contemplated hereby; (b) is able to bear the economic risk of such investment; and (c) is an “Accredited Investor” as defined in Rule 501(a) of Regulation D under the Act. The Stockholder is aware of Xxxxxxxx’x business affairs and condition and has acquired sufficient information about Xxxxxxxx to reach an informed and knowledgeable decision to acquire shares of Xxxxxxxx Preferred.
Experience and Knowledge. The Stockholder: (a) has sufficient knowledge and experience in business and financial matters and with respect to investment in restricted securities so as to enable it to analyze and evaluate the merits and risks of the investment contemplated hereby; (b) is able to bear the economic risk of such investment; and (c) is an "Accredited Investor" as defined in Rule 501(a) of Regulation D under the Act. The Stockholder is aware of Markland’s business affairs and condition and has acquired sufficient information about Markland to reach an informed and knowledgeable decision to acquire shares of Markland Preferred. Stockholder acknowledges that it has read and understaxxx xxx xxlative rights and preferences and other terms of the Markland Preferred as set xxxxx xn the Certificate of Designations relating thereto.
Experience and Knowledge. Buyer has extensive knowledge and experience in financial and business matters; has made its own inquiry and investigation into, and, based thereon, has formed an independent judgment concerning the operations of the Company, its business and prospects; has received sufficient and satisfactory answers to any questions to evaluate the merits and risks of the transactions contemplated by this Agreement; has adequate means of providing for the Buyer’s current financial needs and foreseeable contingencies and has no need for liquidity of its investment in the Shares for an indefinite period of time; and is aware that an investment in the Shares involves a number of very significant risks.
Experience and Knowledge. Such Investor: (a) has sufficient knowledge and experience in business and financial matters and with respect to investment in restricted securities so as to enable it to analyze and evaluate the merits and risks of the investment contemplated hereby; (b) is able to bear the economic risk of such investment; and (c) is an “accredited investor” as defined in Rule 501(a) of Regulation D under the Securities Act. Such Investor is aware of Xxxxxxxx’x business affairs and condition and Technest’s business affairs and condition and has acquired sufficient information about Xxxxxxxx and Technest to reach an informed and knowledgeable decision to acquire shares of Series E Preferred Stock and Technest Conversion Shares. Such Investor acknowledges that it has read and understands the relative rights and preferences and other terms of the Series E Preferred Stock as set forth in the Series E Articles.
Experience and Knowledge. (i) The Warrantholder acknowledges and agrees that it has sufficient knowledge and experience in financial and business matters, and that it has had full opportunity to ask questions and receive sufficient and satisfactory answers from the representatives of the Company to evaluate the merits and risks of the transactions contemplated by this Agreement.
Experience and Knowledge g) An understanding of and commitment to the ethos and values of Pembroke School. h) Demonstrated experience working in a similar role in an academic library. i) Demonstrated experience providing a high level of customer service to library patrons. j) Experience using and supporting the use of audio visual equipment.
Experience and Knowledge. Essential Desirable Good understanding of the context for early years education and training, particularly in the UK Knowledge and appreciation of Froebelian education Previous experience of developing & providing education, training & CPD courses (online and face-to-face) for early years educators / teachers Understanding and experience of the processes of administering course bookings Strong project management skills and experience of delivering successful projects Experience of using Salesforce CRM software Understanding and experience of gathering and analysing feedback from clients such as course participants Expertise in charity governance or work, including ensuring the Trust adheres to relevant policies and practice relating to its courses (e.g. GDPR) Proven track record of an organised and methodical approach to work, combining high standards of accuracy and attention to detail with an ability to meet deadlines. Experience of setting up and managing webinars and meetings in Zoom / MS Teams etc.
