Common use of Expenses of the Selling Shareholders Clause in Contracts

Expenses of the Selling Shareholders. The Selling Shareholders, severally and not jointly, will pay all expenses incident to the performance of their respective obligations under, and the consummation of the transactions contemplated by, this Agreement, including (i) any stamp duties, capital duties and stock transfer taxes, if any, payable upon the sale of the Securities to the International Managers, and their transfer between Underwriters pursuant to any agreement between Underwriters, and (ii) the fees and disbursements of their respective counsel and accountants, except in each case as otherwise provided in any agreement between the Company and any Selling Shareholder.
