Common use of Expenses of the Representative Clause in Contracts

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it will reimburse the Representative for its reasonable, out-of-pocket expenses incurred, including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurredrelated to the Offering up to an aggregate of $70,000 (which shall include any expenses incurred under clauses (c), including travel(m) and (n) of Section 4.5(a) herein), databases, fees and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it will reimburse pay to the Representative for its reasonableall reasonable and documented, out-of-pocket expenses incurred, including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 in the aggregate without the Company’s prior consent by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it will reimburse the Representative for its reasonable, out-of-pocket accountable expenses incurred, including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors in an amount not to exceed $105,000 without the Company’s prior consent 75,000 by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurredrelated to the Offering up to an aggregate of $110,000 (which shall include any expenses incurred under clauses (m) and (n) of Section 4.5(a) herein), including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it will reimburse the Representative for its reasonable, reasonable and documented out-of-pocket expenses incurredrelated to the Offering in an amount up to $100,000 in the aggregate, including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it will reimburse the Representative for its reasonable, out-of-pocket expenses incurredrelated to the Offering in an amount up to an aggregate of $95,000 (net of any amounts already reimbursed), including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it will Date, the Company shall reimburse the Representative for its reasonable, out-of-pocket expenses incurredexpenses, including travelincluding, databaseswithout limitation, the fees and disbursements expenses of legal counselcounsel to the Representative, up to $100,000 (which shall include any expenses under clauses (k) and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent (l) in Section 4.5(a) herein), which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it and each Option Closing Date, if any, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurred, including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors not related to exceed $105,000 without the Company’s prior consent Offering by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it will reimburse the Representative for its reasonable, out-of-reasonable out of pocket expenses incurredexpenses, including travel, databases, fees and disbursements of its legal counselcounsel in an amount up to $100,000 in the aggregate, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurred, including travel, databases, fees and disbursements related to the Offering up to an aggregate of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent 125,000 by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative up to the sum of $150,000 for its reasonable, reasonable out-of-pocket expenses incurred, including travel, databases, fees incurred in connection with the Offering for its legal and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent expenses by deduction of such sum from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurredrelated to the Offering up to an aggregate of $95,000 (which shall include any expenses incurred under clauses (l) and (m) of Section 4.6(a) herein), including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurred, including travel, databases, fees and disbursements related to the Offering up to an aggregate of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent 65,000 by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it will Date, the Company shall reimburse the Representative for its reasonable, out-of-pocket expenses incurredexpenses, including travelincluding, databaseswithout limitation, the fees and disbursements expenses of legal counselcounsel of the Representative, in connection with the Offering up to $100,000 (which shall include any expenses under clauses (l) and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent (m) in Section 4.6(a) herein), which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurredrelated to the Offering, including travel, databases, fees and disbursements expenses of legal counsel, up to an aggregate of $75,000 (which shall include any expenses incurred under clauses (m) and (n) of other consultants and advisors not to exceed $105,000 without the Company’s prior consent Section 4.5(a) herein), which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will (i) reimburse the Representative for its reasonable, legal and other documented out-of-pocket expenses incurredof the Offering in an amount of up to an aggregate of $75,000, including travel, databases, fees and disbursements (ii) reimburse the Representative for its clearing expenses in the amount of legal counsel$10,000, and of other consultants and advisors not to exceed (iii) pay the Representative $105,000 without the Company’s prior consent 25,000 for its non-accountable expenses, by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurred, including travel, databases, fees and disbursements related to the Offering up to an aggregate of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent 100,000 by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it will Date, the Company shall reimburse the Representative for its reasonable, out-of-pocket expenses incurredexpenses, including travelincluding, databaseswithout limitation, the fees and disbursements expenses of legal counselcounsel of the Representative, and of other consultants and advisors not in connection with the Offering, up to exceed $105,000 without 100,000 in the Company’s prior consent aggregate, which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it will reimburse the Representative for its reasonable, out-of-reasonable out of pocket expenses incurredexpenses, including travel, databases, fees and disbursements of its legal counsel, fees and expenses relating to background checks of the Company’s officers and directors, and other consultants fees and advisors expenses relating to the Offering, not to exceed $105,000 without 100,000 in the Company’s prior consent aggregate, which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for up to $60,000 of its accountable and documented expenses related to the Offering (which shall include any expenses incurred under Section 4.5(a)(b), Section 4.5(a)(m) and Section 4.5(a)(n) herein), including, without limitation, up to a maximum of $50,000 of the actual, reasonable, out-of-pocket expenses incurrednecessary, including travel, databases, documented and accountable fees and disbursements expenses of the Representative's legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it will Date, the Company shall reimburse the Representative for its reasonable, out-of-pocket expenses incurredrelated to the Offering, including travelincluding, databaseswithout limitation, the fees and disbursements expenses of legal counselcounsel to the Representative, and up to an aggregate of other consultants and advisors not to exceed $105,000 without the Company’s prior consent 115,000, which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurred, including travel, databases, fees related to the Offering up to an aggregate of $100,000 (which shall include any expenses incurred under clauses (o) and disbursements (p) of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent Section 4.5(a) herein) by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it will reimburse the Representative for its reasonable, reasonable and documented out-of-pocket expenses incurredrelated to the Offering in an amount up to $75,000 in the aggregate, including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent which shall be paid by deduction from the proceeds of the Offering contemplated herein.

The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, legal and other out-of-pocket expenses incurred, including travel, databases, fees of the Offering in an amount of up to an aggregate of $100,000 (which shall include any expenses under (m) and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent (n) in Section 4.5(a) herein) by deduction from the proceeds of the Offering contemplated herein.

The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurred, including travel, databases, fees and disbursements related to the Offering up to an aggregate of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent (which shall include any expenses incurred under clauses (l) and (m) of Section 4.5(a) herein), which shall be paid by deduction from the proceeds of the Offering contemplated herein.

The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurredrelated to the Offering, including travelincluding, databaseswithout limitation, legal fees and disbursements expenses of legal counselRepresentative, up to an aggregate of $90,000 (which shall include any expenses incurred under clauses (n) and (o) of other consultants and advisors not to exceed $105,000 without the Company’s prior consent Section 4.5(a) herein) by deduction from the proceeds of the Offering contemplated herein.

The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurredrelated to the Offering up to an aggregate of $85,000 (which shall include any expenses incurred under clause (c) of Section 4.6(a) herein), including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.4(a), on the Closing Date it will reimburse the Representative for its reasonable, out-of-pocket expenses incurred, including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors not related to exceed the Offering in an amount up to $105,000 without in the Company’s prior consent aggregate, which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it will Date, the Company shall reimburse the Representative for its reasonable, out-of-pocket expenses incurredexpenses, including travelincluding, databaseswithout limitation, the fees and disbursements expenses of legal counselcounsel of the Representative, in connection with the Offering up to $95,000 (which shall include any expenses under clauses (l) and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent (m) in Section 4.6(a) herein), which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it will reimburse the Representative for its reasonable, out-of-reasonable out of pocket expenses incurredexpenses, including travel, databases, fees and disbursements of its legal counselcounsel up to $100,000, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurredrelated to the Offering up to an aggregate of $100,000 (which shall include any expenses incurred under clauses (c), including travel(m) and (n) of Section 4.5(a) herein), databases, fees and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent which shall be paid by deduction from the proceeds of the Offering contemplated herein.

The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurredrelated to the Offering, including travel, databases, fees and disbursements expenses of legal counsel, and up to an aggregate of other consultants and advisors not to exceed $105,000 without the Company’s prior consent 75,000, which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it Date, the Company will reimburse the Representative up to an aggregate of $65,000.00 for its reasonable, all documented and reasonable out-of-pocket expenses incurredexpenses, including travelthe reasonable fees, databases, fees costs and disbursements of its legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurredrelated to the Offering up to an aggregate of $80,000, including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, reasonable and documented legal and other out-of-pocket expenses incurredof the Offering in an amount of up to an aggregate of $150,000 (which shall include any expenses under clause (k) and (l) under Section 4.5(a) and the expenses under Section 7.1(a)), including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a4.5(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurred, including travel, databases, fees related to the Offering up to an aggregate of $100,000 (which shall include any expenses incurred under clauses (n) and disbursements (o) of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent Section 4.5(a) herein) by deduction from the proceeds of the Offering contemplated herein.

The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it will Date, the Company shall reimburse the Representative for its reasonable, out-of-pocket expenses incurredexpenses, including travelincluding, databaseswithout limitation, the fees and disbursements expenses of legal counselcounsel of the Representative, in connection with the Offering up to $115,000 (which shall include any expenses under clauses (l) and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent (m) in Section 4.6(a) herein), which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it Date, the Company will reimburse the Representative for its reasonable, out-of-pocket expenses incurred, including travel, databases, fees and disbursements related to the Offering up to an aggregate of legal counsel, and $100,000 ($15,000 of other consultants and advisors not which has been paid prior to exceed $105,000 without the Company’s prior consent Execution Date) by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date it will reimburse the Representative for its reasonableexpenses up to $100,000, out-of-pocket expenses incurred, including travel, databases, fees and disbursements of legal counsel, and of other consultants and advisors not to exceed $105,000 without the Company’s prior consent which shall be paid by deduction from the proceeds of the Offering contemplated herein.
