Common use of Expense Allowances Clause in Contracts

Expense Allowances. In addition to the compensation described in ------------------ Section 6 above, the Company will pay the Agent an amount equal to 1.5% of the gross proceeds of the Shares sold by the Agent or the Agent's Soliciting Dealers as a nonaccountable marketing support and due diligence expense reimbursement fee to defray marketing expenses and due diligence costs to be incurred by the Agent. No allowance shall be paid with respect to Shares issued pursuant to the Dividend Reinvestment Program and the Director Stock Option Plan, as described in the Prospectus.
