Expansion of Premises. (a) First Expansion Space (Suites 1620, 1635 and 1640). Commencing on May 1, 2004 (the “First Expansion Space Commencement Date”), the Premises shall be expanded by approximately 6,189 rentable square feet in Suites 1620, 1635 and 1640 in the location identified on Exhibit A attached hereto (the “First Expansion Space”). (b) Second Expansion Space (Suites 1625 and 1630). Subject to potential delays as described in the next sentence, commencing on March 1, 2005 (the “Second Expansion Space Commencement Date”), the Premises shall be expanded by approximately 3,097 rentable square feet in Suites 1625 and 1630 in the location identified on Exhibit A attached hereto (the “Second Expansion Space”). Tenant may, by written notice to Landlord at least six (6) months prior to March 1, 2005, request that Landlord delay the Second Expansion Space Commencement Date on a month-to-month basis by (1) extending the existing lease in Suite 1630 on a month-to-month basis and (2) delaying construction of the new/relocated Building conference room which is currently located in Suite 1625. If timely requested by Tenant, Landlord shall make reasonable efforts to delay the Second Expansion Space Commencement Date through the two methods identified in the preceding sentence. If Landlord is able to delay the Second Space Commencement Date, then the Second Expansion Space Commencement Date shall be delayed on a month-to-month basis until the first to occur of (i) the expiration of the month-to-month extension of the existing lease in Suite 1630, or (ii) forty-five (45) days after Tenant notifies Landlord in writing that Tenant elects to discontinue the month-to-month extension of the Second Expansion Space Commencement Date. If the Second Expansion Space Commencement Date is extended pursuant to the provisions contained in this subsection, then upon the final determination of the actual Second Expansion Space Commencement Date Landlord and Tenant shall confirm the actual Second Expansion Space Commencement Date in writing.

Expansion of Premises. (a) On the condition that this Lease is in full force and effect as of the commencement of the fourth Lease Year, then, effective as of the commencement of the fourth Lease Year, Landlord hereby leases to Tenant and Tenant hereby leases from Landlord, subject to and with the benefit of the terms, covenants, conditions and provisions of this Lease, approximately 25,000 r.s.f. in the Building (the "First Expansion Space") in its then "AS IS" condition but subject to Section 10.11(e) hereof, and on the condition that this Lease is in full force and effect as of the commencement of the sixth Lease Year, then effective as of the commencement of the sixth Lease Year, Landlord hereby leases to Tenant and Tenant hereby leases from Landlord, subject to and with the benefit of the terms, covenants, conditions and provisions of this Lease, approximately 25,000 r.s.f. in the Building (the "Second Expansion Space") in its then "AS IS" condition but subject to Section 10.11(e) hereof. Landlord and Tenant agree that the Premises initially demised to Tenant by Landlord pursuant to this Lease, together with the First Expansion Space (Suites 1620and the Second Expansion Space, 1635 and 1640). Commencing on May 1, 2004 (will constitute all of the “First Expansion Space Commencement Date”), the Premises shall be expanded by approximately 6,189 rentable square feet in Suites 1620, 1635 and 1640 Rentable Square Footage in the location identified on Exhibit A attached hereto (Building except for the “First Expansion Retail Space”).
(b) On or prior to the date upon which Tenant is required to approve the Schematic Design Documents, Landlord and Tenant shall mutually agree on the location in the Building of the Premises initially demised to Tenant pursuant to this Lease and the location in the Building of the First Expansion Space and the Second Expansion Space (Suites 1625 and 1630the "Expansion Spaces"). Subject At such time as the parties have agreed upon the location of the Expansion Spaces, the parties shall attach hereto as Exhibit A-4 a plan showing such locations. The actual Rentable Square Footage of the Expansion Spaces shall be determined pursuant to potential delays as described in Section 2.3 hereof.
(c) The Annual Fixed Rent Rate for each of the next sentence, commencing on March 1, 2005 (the “Second First Expansion Space Commencement Date”), the Premises shall be expanded by approximately 3,097 rentable square feet in Suites 1625 and 1630 in the location identified on Exhibit A attached hereto (the “Second Expansion Space”). Tenant may, by written notice to Landlord at least six (6) months prior to March 1, 2005, request that Landlord delay the Second Expansion Space Commencement Date on a month-to-month basis by (1) extending the existing lease in Suite 1630 on a month-to-month basis and (2) delaying construction of the new/relocated Building conference room which is currently located in Suite 1625. (b) Second Expansion Space (Suites 1625 . Beginning on the Delivery Date and 1630). Subject to potential delays continuing for the remainder of the Term of the Lease, as described in the next sentence, commencing on March 1, 2005 (the “Second Expansion Space Commencement Date”)extended by this Amendment, the Premises under the Lease shall be expanded by consist of approximately 3,097 rentable 44,663 square feet in Suites 1625 the aggregate which shall be comprised of the Existing Space and 1630 in the location identified Expansion Space together, all as depicted on Exhibit A attached hereto hereto. The Expanded Premises shall continue to be known as Suite 40.
b. If Landlord fails to deliver possession of the Expansion Space by the scheduled Delivery Date due to any cause beyond the reasonable control of Landlord, including, without limitation, a holding over or other occupancy by a prior tenant (any of the foregoing being hereafter referred to in this Section as an “Second Expansion SpaceExcused Delay”). , then Tenant may, by written notice to Landlord at least six (6) months prior to March 1, 2005, request that Landlord delay shall continue paying Base Rent in the Second Expansion amount set forth in Section 5 of this Amendment for the Existing Space Commencement Date on a month-to-month basis by (1) extending the existing lease in Suite 1630 on a month-to-month basis and (2) delaying construction Additional Rent due under Article 3 of the new/relocated Building conference room which is currently located in Suite 1625. If timely requested by Tenant, Landlord shall make reasonable efforts to delay Lease for Real Estate Taxes and Operating Expenses for the Second Expansion Existing Space Commencement Date through the two methods identified in the preceding sentence. If Landlord is able to delay the Second Space Commencement Date, then the Second Expansion Space Commencement Date shall be delayed on a month-to-month basis until the first Delivery Date. Expansion of Premises. Tenant currently leases the 18th Floor Premises through June 30, 2004. The space on the 26th floor of the Building outlined on Exhibit B-▇ attached to this Second Amendment is hereinafter referred to as the “26th Floor Premises.”
(a) First Expansion Space Term for the 26th Floor Premises: Possible Early Surrender of 18th Floor Premises. Effective as of the Delivery Date (Suites 1620, 1635 and 1640). Commencing on May 1, 2004 (the “First Expansion Space Commencement Date”as defined below), the Premises shall be expanded by approximately 6,189 rentable square feet in Suites 1620, 1635 to include the 26th Floor Premises on the terms set forth herein. The initial Term for the 26th Floor Premises shall commence on the Delivery Date and 1640 in shall terminate on the location identified Term Expiration Date as set forth below. If the Rent Commencement Date (as hereinafter defined) occurs on Exhibit A attached hereto (the “First Expansion Space”).
(b) Second Expansion Space (Suites 1625 and 1630). Subject to potential delays as described in the next sentence, commencing on March 1, 2005 (the “Second Expansion Space Commencement Date”)first day of a calendar month, the Term Expiration Date for the 26th Floor Premises shall be expanded by approximately 3,097 rentable square feet in Suites 1625 and 1630 in the location identified on Exhibit A attached hereto day preceding the tenth (the “Second Expansion Space”). Tenant may, by written notice to Landlord at least six (610th) months prior to March 1, 2005, request that Landlord delay the Second Expansion Space Commencement Date on a month-to-month basis by (1) extending the existing lease in Suite 1630 on a month-to-month basis and (2) delaying construction anniversary of the new/relocated Building conference room which is currently located in Suite 1625. If timely requested by Tenant, Landlord shall make reasonable efforts to delay the Second Expansion Space Commencement Date through the two methods identified in the preceding sentence. If Landlord is able to delay the Second Space Commencement Date, then the Second Expansion Space Commencement Date shall be delayed on a month-to-month basis until the first to occur of (i) the expiration of the month-to-month extension of the existing lease in Suite 1630, or (ii) forty-five (45) days after Tenant notifies Landlord in writing that Tenant elects to discontinue the month-to-month extension of the Second Expansion Space Rent Commencement Date. If the Second Expansion Space Rent Commencement Date is extended pursuant to does not occur on the provisions contained in this subsectionfirst day of a calendar month, then upon the final determination Term Expiration Date shall be the last day of the actual Second Expansion Space month in which the tenth (10th) anniversary of the Rent Commencement Date occurs. Except as set forth herein, Tenant’s lease of the 26th Floor Premises shall be on all of the terms and conditions of the Lease. The Delivery Date is currently expected to occur on or about July 1, 2000 (“Estimated Delivery Date”). As used herein, the “Delivery Date” shall be the date on which the 26th Floor Premises are delivered to Tenant in accordance with this Second Amendment. Landlord shall provide Tenant with ten (10) days prior notice of the Delivery Date (the “Delivery Notice”). Landlord shall endeavor, in good faith, and use reasonable efforts to deliver the 26th Floor Premises to Tenant on or about the Estimated Delivery Date and shall from time to time, upon request, advise Tenant by written notice as to any changes in the then expected Estimated Delivery Date. Landlord’s failure to cause the 26th Floor Premises to be delivered to Tenant on or about the Estimated Delivery Date, for any reason, shall not give rise to any liability of Landlord hereunder, shall not constitute a Landlord’s default, shall not affect the validity of the Lease (as amended hereby), and shall have no effect on the beginning or end of the Term as otherwise determined hereunder or on Tenant’s obligations associated therewith. Following the Delivery Date, Landlord and Tenant shall execute, acknowledge and deliver an agreement, in recordable form, stating the date on which the Delivery Date occurred, but the failure to deliver such agreement will not affect the validity of the Lease. Notwithstanding the foregoing, if the 26th Floor Premises are not so delivered to Tenant by the date three (3) months after the Estimated Delivery Date, then Tenant may, by thirty (30) days’ prior notice to Landlord given within thirty (30) days after such date, terminate this Second Amendment. Such termination shall be effective, however, only if the 26th Floor Premises are not so delivered to Tenant on or before the 30th day following Tenant’s notice. If Tenant fails timely to exercise its rights to terminate the Second Amendment under this paragraph, Tenant shall not have any further such right. Tenant’s termination right under this paragraph shall be Tenant’s sole remedy for any delay in the delivery of the 26th Floor Premises. After the Delivery Date and through the earlier to occur of (x) the Surrender Date (as defined below) or (y) the Term Expiration Date for the 18th Floor Premises originally set forth in the Lease, Tenant shall continue to lease the 18th Floor Premises on the terms set forth in the Lease and shall pay Annual Fixed Rent, additional charges for Landlord’s Operating Expenses, and all other sums due and payable with respect to the 18th Floor Premises in accordance with the terms of the original Lease. In the event that Tenant leases the First Offer Space under Section 2.1.2 of the Lease (as set forth below) effective as of a date before the Term Expiration Date for the 18th Floor Premises, Tenant shall have the right to surrender the 18th Floor Premises effective as of the date (the “Surrender Date”) that is ninety (90) days after the date that the First Offer Space is added to the Premises. Such surrender right may be exercised only (1) in Tenant’s notice to Landlord under clause (iii) of the first paragraph of Section 2.1.2 of the Lease accepting Landlord’s offer of the First Offer Space as set forth in Section 2.1.2 or (2) in Tenant’s notice to Landlord offering to lease the First Offer Space on alternative terms under clause (ii) of the first paragraph of Section 2.1.2 of the Lease (provided that Tenant’s exercise of such surrender right shall be deemed to be rescinded if Landlord thereafter declines or is deemed to decline Tenant’s offer to lease the First Offer Space as set forth in Section 2.1.2). Failure by Tenant to timely exercise such election shall constitute Tenant’s waiver of its right to surrender the 18th Floor Premises. In the event that Tenant so elects to surrender the 18th Floor Premises as set forth above, Tenant shall vacate and surrender the 18th Floor Premises to Landlord in accordance with Section 5.12 of the Lease on the Surrender Date. To confirm the actual foregoing changes to the Premises and the Term, effective as of the Delivery Date (i) Exhibit B to the Lease shall be supplemented by adding Exhibit B-▇ to this Second Expansion Space Amendment, (ii) the description of Rentable Floor Area of Premises in Section 1.1 of the Lease shall be amended by supplementing the reference to “3,197 square feet located on Floor 18” with the additional phrase “and 19,177 square feet located on Floor 26”, (iii) the Premises leased by Tenant shall consist of the 18th Floor Premises and the 26th Floor Premises and (iv) the definition of “Term Expiration Date” in Section 1.1 of the Lease shall be amended by deleting “June 30, 2004” and inserting in its place “ for the 18th Floor Premises: June 30, 2004” and adding thereto “for the 26th Floor Premises: the day preceding the tenth (10th) anniversary of the Rent Commencement Date (if the Rent Commencement Date occurs on the first day of a calendar month) and otherwise the last day of the month in writingwhich the tenth (10th) anniversary of the Rent Commencement Date occurs”. In the event that Tenant exercises its right to an early surrender of the 18th Floor Premises as set forth above, effective as of the end of the day on the Surrender Date the Premises shall cease to include the 18th Floor Premises, and Rentable Floor Area of the Premises shall be adjusted accordingly.

(b) Second effective as the Expansion Commencement Date. The Expansion Space (Suites 1625 and 1630). Subject to potential delays as described shall automatically be included in the next sentencePremises effective as of the Expansion Commencement Date and all of the covenants, commencing conditions and provisions of the Amended Lease (as further amended hereby) shall thereupon be applicable to the Expansion Space, except that (x) the Annual and Monthly Base Rent for each period during the Term shall be increased proportionately based upon the Annual and Monthly Base Rent for each period for the Current Premises (except that in the months that no Base Rent is due and payable with respect to the Current Premises, Base Rent shall be due and payable with respect to the Expansion Space at the rate per square foot for the previous month), (y) Tenant’s proportionate share shall increase accordingly, and (z) the renewal option set forth in Paragraph 41 of the Original Lease shall apply to the Expansion Space except that the Base Rent for the Expansion Space during such renewal term shall be determined in accordance with Paragraph 38 of the Original Lease as modified by Paragraph 6 hereof. The Expansion Space shall be leased on an “AS IS” basis, except that Landlord will provide Tenant a construction allowance determined by multiplying $25 per rentable square foot in the Expansion Space by a fraction which has as its numerator the number of days then (i.e., as of the Expansion Commencement Date) remaining in the Term after March 1, 2005 (2006 and until February 28, 2011, and which has as its denominator the “Second Expansion Space Commencement Date”), the Premises shall be expanded by approximately 3,097 rentable square feet in Suites 1625 and 1630 in the location identified on Exhibit A attached hereto (the “Second Expansion Space”). Tenant may, by written notice to Landlord at least six (6) months prior to total number of days from March 1, 2005, request that Landlord delay the Second Expansion Space Commencement Date on a month-to-month basis by (1) extending the existing lease in Suite 1630 on a month-to-month basis and (2) delaying construction of the new/relocated Building conference room which is currently located in Suite 1625. Expansion of Premises. Suite 320 of the Building, containing 1,880 rentable square feet in the location shown on EXHIBIT "G-1" attached hereto (athe "Expansion Space"), is currently occupied by Accelerated Solutions Incorporated under a lease which terminates on May 31, 1998. The Expansion Space will be added to, and shall by deemed a part of, the Premises for the remainder of the Lease Term, on the earlier of (i) First the day Tenant commences its occupancy of the Expansion Space, or (ii) thirty (30) days after the day on which Accelerated Solutions Incorporated vacates the Expansion Space (Suites 1620, 1635 and 1640). Commencing on May 1, 2004 (such earlier date being hereinafter referred to as the “First "Expansion Space Commencement Date”"). From and after the Expansion Space Commencement Date, the Premises shall be expanded by approximately 6,189 deemed to contain 11,837 rentable square feet in Suites 1620feet, 1635 the Initial Base Rent shall increase to 18,248.71 per month ($18.50) per rentable square foot), and 1640 in Tenant's Share shall be increased to 10.71%. Tenant may, by written notice to Landlord at least six (6) months prior to March 1, 2005, request that Landlord delay the Second Expansion Space Commencement Date on a month-to-month basis by (1) extending the existing lease in Suite 1630 on a month-to-month basis and (2) delaying construction of the new/relocated Building conference room which is currently located in Suite 1625. If timely requested expenses incurred by Tenant, or by Landlord shall make reasonable efforts to delay at Tenant's request, for tenant improvements in the Second Expansion Space Commencement Date through shall be the two methods identified responsibility of Tenant.
