Common use of Exoneration Clause in Contracts

Exoneration. In furtherance and extension, and not in limitation, of the specific provisions set forth above, any action taken or omitted by the Agent or any Lender under or in connection with any of the Letters of Credit or any related certificates, if taken or omitted in the absence of gross negligence or willful misconduct, shall not put the Agent or any Lender under any resulting liability to the Borrower or relieve the Borrower of any of its obligations hereunder to any such Person.

Exoneration. In furtherance and extension, and not in limitation, of the specific provisions set forth above, any action taken or omitted by the Agent or any Lender under or in connection with any of the Letters of Credit or any related certificates, if taken or omitted in the absence of gross negligence or willful misconduct, shall not put the Agent or any Lender under any resulting liability to the Borrower Borrowers or relieve the Borrower Borrowers of any of its obligations hereunder to any such Person.

In furtherance and extension, and not in limitation, of the specific provisions set forth above, any action taken or omitted by the Agent Agent, NationsBank or any Lender under or in connection with any of the Letters of Credit or any IRB L/C or any related certificates, if taken or omitted in the absence of gross negligence or willful misconductgood faith, shall not put result in any liability of any Lender or the Agent or any Lender under any resulting liability to the Borrower or relieve the Borrower of any of its obligations hereunder to any such Person.

Exoneration. In furtherance and extension, and not in limitation, of the specific provisions set forth above, any action taken or omitted to be taken by the Agent or any Lender under or in connection with any of the Letters of Credit or any related certificates, if taken or omitted to be taken in the absence of gross negligence or willful misconduct, shall not put the Agent or any Lender under any resulting liability to the Borrower or the other Loan Parties or relieve the Borrower and the other Loan Parties of any of its obligations hereunder to any such Person.

In furtherance and extension, and not in limitation, of the specific provisions set forth above, any action taken or omitted by the Administrative Agent, Syndication Agent or any Lender Issuing Bank under or in connection with any of the Letters Letter of Credit or any related certificates, if taken or omitted in the absence of gross negligence or willful misconductgood faith, shall not put any Bank, the Issuing Bank, the Syndication Agent or any Lender the Administrative Agent under any resulting liability to the Borrower or relieve the Borrower of any of its obligations hereunder to any such Person.

In furtherance and extension, and not in limitation, of the specific provisions set forth above, any no action taken or omitted by the Collateral Agent or any Lender under or in connection with any of the Letters of Credit or any related certificates, if taken or omitted in the absence of gross negligence or willful misconductgood faith, shall not put the Collateral Agent or any Lender under any resulting liability to the either Borrower or relieve the either Borrower of any of its obligations hereunder to any such Person.
