Common use of Exit Planning Clause in Contracts

Exit Planning. 6.5.1 Should paragraph 2.6 of the Order Form require the Supplier to produce an Exit Plan then within three months after the Commencement Date, the Supplier shall deliver to the Customer a plan (the "Exit Plan") which sets out the Supplier's proposed methodology for achieving orderly transition of the Services from the Supplier to the Customer and/or a Replacement Supplier on the expiry or termination of this Contract. Within 30 days after submission of the draft Exit Plan (or any revised Exit Plan) the Parties will use their reasonable endeavours to agree its content and if they are unable to reach agreement then the dispute shall be referred to the Dispute Resolution Procedure. The Supplier will review and update the Exit Plan within one month of each anniversary of the Commencement Date. The Supplier shall ensure that the Exit Plan shall include as a minimum:
