Existing Furniture. Tenant, in Tenant’s sole discretion and at no additional cost to Tenant shall have the right and be entitled to use the office furniture, desks, tables and chairs existing in the Premises as of the Date of this Lease, as further described on Exhibit B-3 attached hereto (such furniture, cubicles, desks and chairs being collectively referred to herein as the “Existing Furniture”). No later than thirty (30) days after the Date of this Lease, Tenant shall notify Landlord in writing whether Tenant has elected to use all or some of the Existing Furniture or require Landlord, at Landlord’s sole cost and expense, to remove all or some of the Existing Furniture prior to the Commencement Date. Notwithstanding the foregoing, Landlord hereby agrees to remove the pieces of furniture depicted in Schedule 1 to Exhibit B-3. In the event Tenant elects to use any or all of the Existing Furniture throughout the Lease Term, such Existing Furniture which Tenant elects to use shall be delivered with the Premises in its AS-IS, WHERE-IS and WITH ALL FAULTS condition, and Tenant hereby disclaims any and all warranties with respect to such Existing Furniture, whether express or implied (including, without limitation, any warranty of merchantability or fitness for a particular purpose). Furthermore, Tenant hereby understands and agrees that throughout the Lease Term, Tenant shall, at Tenant’s sole cost and expense, maintain, repair and keep such Existing Furniture in good working order, normal wear and tear excepted and Landlord shall have no obligation whatsoever to maintain, repair or replace any of such Existing Furniture, or to insure any of such Existing Furniture, and any loss or damage to such Existing Furniture shall be at Tenant’s sole risk and Tenant hereby releases Landlord from any obligation with respect thereto. Such Existing Furniture is and shall remain the property of Landlord and Tenant shall not remove or otherwise discard, modify and/or add to such Existing Furniture without Landlord’s prior written consent, which shall not be unreasonably withheld, delayed or conditioned. Notwithstanding the foregoing, Tenant shall have the right to move or reconfigure such Existing Furniture within the Premises throughout the Lease Term. Upon the expiration or earlier termination of this Lease, Tenant shall surrender such Existing Furniture in the Premises in a safe, clean and neat condition, normal wear and tear excepted.
Existing Furniture. Attached hereto as Exhibit I is a list of the existing furniture and personal property in the Premises as of the date of this Lease (“Personal Property”). Tenant may use the Personal Property during the Lease Term while Tenant is leasing and occupying all of the Premises. Tenant shall not remove any of the Personal Property from the Premises. Landlord does not represent or warrant the condition or utility of the Personal Property and Landlord shall not be responsible for any defect, whether latent or patent, in the Personal Property. Landlord will not be responsible to repair, maintain or replace any of the Personal Property, even if any of the Personal Property is damaged by any casualty. Landlord makes no representation or warranty whatsoever with respect to the condition of the Personal Property or its suitability for Tenant’s use, such use to be on an “as-is” basis. If the Lease Term is terminated for any reason, including, without limitation, due to a default by Tenant, a casualty or condemnation, Tenant shall have no right to any of the Personal Property. Tenant shall be responsible for any damage to the Personal Property subject to reasonable wear and tear, except if caused by Landlord or any of its employees, agents or contractors.
Existing Furniture. The contractor shall coordinate the removal, temporary storage, and return and set-up of all existing furniture and equipment within the Scope of Work for this project that requires removal. The contractor shall also be responsible for providing full protection of any furniture and equipment that is to remain on site. Any and all costs associated with this activity shall be borne by the Contractor.
Existing Furniture. Tenant may use the existing furniture listed on Exhibit D attached hereto (the "Furniture") during the Term at no additional cost. Tenant shall maintain the furniture in good condition and repair during the Term. Provided no Event of Default exists at the end of the Term, Landlord shall convey the Furniture to Tenant, without warranty. Tenant shall be responsible for coordination of and all costs associated with relocating any of the Furniture to allow contractors access to complete the Landlord Improvements. Tenant shall also be responsible for coordination of and all costs associated with setting up the Furniture after construction is completed.
Existing Furniture. Tenant is in the process of purchasing certain furniture currently located in the Expansion Space (the “Personal Property”) and owned by Prior Tenant. Landlord (i) shall not be liable for any loss of or damage to the Personal Property, (ii) disclaims any ownership of and responsibility for the Personal Property, and (iii) makes no representation as to its nature, suitability, quality or condition. Tenant acknowledges that it is relying solely on its own investigation of the Personal Property and not on any information provided by Landlord.
Existing Furniture. Notwithstanding anything herein to the contrary, Landlord shall remove the twelve (12) red cubicles currently within the Premises, but otherwise the existing furniture shall remain in the Subleased Premises (the “Existing Furniture”) for use by Tenant during the Sublease Term for no additional cost. In consideration of entering into this Sublease, the Existing Furniture shall become the property of Subtenant upon commencement of the Sublease Term and Subtenant shall be solely responsible for its maintenance and removal at the end of the Sublease Term in accordance with the Master Lease.
Existing Furniture. Upon Commencement of the Sublease Term, Sublandlord hereby transfers all right, title and interest of Sublandlord to specific furniture, fixtures, and equipment listed on Exhibit “B”, attached hereto, and to existing and connected data cabling (collectively “FF&E”) currently in place within the Premises for the price of one dollar ($1.00).
Existing Furniture. Concurrently with the execution of this Lease, Landlord and Tenant shall execute and deliver a ▇▇▇▇ of Sale substantially in the form of attached Exhibit D, whereby Landlord shall convey to Tenant any rights Landlord has in certain personal property.
Existing Furniture. The existing furniture in the Premises (the “Existing Furniture”) will remain in the Premises as of the Commencement Date. A list of the Existing Furniture as provided by the Existing Tenant is attached hereto as Exhibit G-1. Provided Tenant is not in Default beyond any applicable notice and cure periods, Tenant shall be permitted to utilize the Existing Furniture without charge during the Lease Term. Upon request by Landlord, Tenant agrees to acknowledge an inventory of the Existing Furniture. Landlord hereby makes no representations regarding the condition of the Existing Furniture, and Tenant acknowledges that it has inspected the Existing Furniture and all items are in good condition. Tenant shall maintain the Existing Furniture during its occupancy of the Premises in the same condition as when received, reasonable wear and tear excepted. Provided that the original Tenant has not assigned this Lease to other than an Affiliate and has performed all of its obligations under this Lease without Default, then Tenant shall have the option, but not the obligation, to purchase the Existing Furniture from Landlord at a cost of $1.00 at the expiration of the Lease Term.
Existing Furniture. Tenant shall have the right to use the existing furniture in the Premises (“Existing Furniture”) at no cost during the term of the Lease. A mutually acceptable inventory of the Existing Furniture shall be attached to the Amendment No. 16 as Exhibit “B”.
