Existence of the Corporate Co-Issuer. So long as the Notes remain outstanding, the Company will maintain the Corporate Co-Issuer as a Wholly-Owned Subsidiary that is organized as a corporation under the laws of the United States of America, any State thereof or the District of Columbia that will serve as a co-issuer of the Notes unless the Company itself becomes a corporation under the laws of the United States of America, any State thereof or the District of Columbia. The Corporate Co-Issuer shall not engage in any business or activity, other than acting as a co-issuer of the Notes, providing a guarantee of the Credit Agreement, acting as a co-issuer or guarantor of any other Indebtedness of the Company to the extent such Indebtedness is permitted to be incurred under this Indenture and other activities reasonably ancillary thereto and shall not merge, consolidate with or into any other Person other than the Company with the Corporate Co-Issuer being the surviving entity.

  • Formation of the Company The Company was formed as a limited liability company under the Act on April 24, 2008.
