Exercise of Rights; Purchase Price; Expiration Date of Rights. (a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), exercise the Rights evidenced thereby (except as otherwise provided herein) in whole or in part at any time after the Distribution Date upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each Common Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close of Business on the 120th day following the execution of this Agreement (the “Final Expiration Date”), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “Redemption Date”), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

Exercise of Rights; Purchase Price; Expiration Date of Rights. (a) The Subject to Section 11(a)(ii), the registered holder of any Series A Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided hereinin this Agreement) in whole or in part at any time after the Distribution Date upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly completed and executed, to the Rights Agent at the principal office or offices of the Rights AgentAgent designated for such purpose, together with payment of the Purchase Price for each Common Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close close of Business business on the 120th day following the execution of this Agreement (the “Final Expiration Date”), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “"Redemption Date”"), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof24.

Exercise of Rights; Purchase Price; Expiration Date of Rights. (a) The Subject to Sections 7(e) and 23(a) hereof, the registered holder of any Right Rights Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) in whole or in part at any time after the Distribution Separation Date upon surrender of the Right Rights Certificate, with the form of election to purchase on the reverse side thereof including the certificate contained therein duly executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each Common Share as to which the Rights are exercised, at or exercised prior to the earliest earlier of (i) the Close of Business on the 120th day following the execution of this Agreement February 1, 2010 (the “"Final Expiration Date”"), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “Redemption Date”), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereofhereof (such earlier time being herein referred to as the "Expiration Date").

Exercise of Rights; Purchase Price; Expiration Date of Rights. (a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) in whole or in part at any time after the Distribution Date upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal shareholder services office of the Rights AgentAgent or such office designated for such purpose, together with payment of the Purchase Price for each share of Common Share Stock as to which the Rights are exercised, at or prior to the close of business on the Expiration Date. The "Expiration Date", as used in this Agreement, shall be the earliest of (i) the Close of Business on the 120th day following the execution of this Agreement (the “Final Expiration Date”Date (as defined below), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “Redemption Date”)hereof, or (iii) the time at which such the Rights are exchanged as provided in Section 24 hereof. The "Final Expiration Date", as used in this Agreement, shall be September 5, 2007.

(a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) ), in whole or in part part, at any time after the Distribution Date Date, upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each Common one one-hundredth of a Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close of Business on the 120th day following the execution of this Agreement July 31, 2018 (the “Final Expiration Date”), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “Redemption Date”), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

(a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) in whole or in part at any time after the Distribution Date upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each Common one one-hundredth of a Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close close of Business business on the 120th day following the execution of this Agreement October 12, 2008 (the “"Final Expiration Date”"), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “"Redemption Date”"), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

(a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) in this Agreement), in whole or in part part, at any time after the Distribution Date Date, upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each Common one one-hundredth of a Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close of Business on the 120th day following the execution of this Agreement , 2017 (the “Final Expiration Date”), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “Redemption Date”), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

(a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) ), in whole or in part part, at any time after the Distribution Date Date, upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof properly completed and duly executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each Common one one-thousandth of a Preferred Share as to which the Rights are exercised, at or prior to the time (the “Expiration Date”) that is the earliest of (i) the Close of Business on the 120th day following the execution of this Agreement (the “Final Expiration Date”), (ii) the time at which Close of Business on the Rights are redeemed as provided in Section 23 hereof (the “Redemption Date”), Date or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

(a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) in whole or in part at any time after the Distribution Date upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights AgentAgent or the office or agency of the Rights Agent in New York, New York, together with payment of the Purchase Price for each Common one one-hundredth of a Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close close of Business business on the 120th day following the execution of this Agreement July 23, 2007 (the “"Final Expiration Date”"), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “"Redemption Date”"), or (iii) the time at which such the Rights are exchanged as provided in Section 24 hereof, or (iv) immediately prior to the consummation of the merger of the Company with and into Merger Subsidiary as contemplated by and in accordance with the Merger Agreement.

Exercise of Rights; Purchase Price; Expiration Date of Rights. (a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) in whole or in part at any time time, subject to the last sentence of Section 23(a) hereof, after the Distribution Date upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly completed and executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each one Common Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close of Business on the 120th day following the execution of this Agreement August 4, 2014 (the “Final Expiration Date”), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “Redemption Date”), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

Exercise of Rights; Purchase Price; Expiration Date of Rights. (a) The Except as provided in Sections 23(c) and 7(e), the registered holder of any Right Rights Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided hereinin this Agreement) in whole or in part at any time after the Distribution Date upon surrender of the Right Rights Certificate, with the form of election to purchase on and the reverse side thereof related certification duly executed, to the Rights Agent at the principal office of the Rights AgentAgent designated for such purpose, together with payment of the Purchase Price for each Common Share Unit of Preferred Stock as to which the Rights are exercised, at or prior to the earliest of (i) the Close of Business on the 120th day following the execution of this Agreement tenth anniversary hereof (the “"Final Expiration Date”"), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “"Redemption Date”"), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof(the earlier of (i), (ii) and (iii) being the "Expiration Date").

(a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) in whole or in part at any time after the Distribution Date upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each Common one one-thousandth of a Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close close of Business business on the 120th day following the execution of this Agreement July 27, 2009, subject to extension (the “"Final Expiration Date”"), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “"Redemption Date”"), or and (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

(a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) ), in whole or in part part, at any time after the Distribution Date Date, upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each Common one ten-thousandth of a Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close of Business on the 120th day following the execution of this Agreement February 19, 2009 (the “Final Expiration Date”"FINAL EXPIRATION DATE"), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “Redemption Date”"REDEMPTION DATE"), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

Exercise of Rights; Purchase Price; Expiration Date of Rights. (a) The Subject to Section 26 of this Agreement, the registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) in whole or in part at any time after the Distribution Date upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each Common one three-hundredth of a Preference Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close close of Business business on the 120th day following the execution of this Agreement December 1, 2008 (the “Final Expiration Date”), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “Redemption Date”), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

(a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) ), in whole or in part part, at any time after the Distribution Date Date, upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof properly and duly executed, to the Rights Agent at the principal office Designated Office of the Rights Agent, together with payment of the Purchase Price for each Common one one-thousandth of a Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close of Business on the 120th day following the execution of this Agreement April 10, 2019 (the “Final Expiration Date”), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “Redemption Date”), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

Exercise of Rights; Purchase Price; Expiration Date of Rights. (a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) ), in whole or in part part, at any time after the Distribution Date Date, upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights AgentAgent designated for such purpose, together with payment of the Purchase Price for each Common one one-hundredth of a Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close of Business on the 120th day following the execution of this Agreement January 29, 2010 (the “"Final Expiration Date”"), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “"Redemption Date”"), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

Exercise of Rights; Purchase Price; Expiration Date of Rights. (a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) ), in whole or in part part, at any time after the Distribution Date Date, upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each Common one one-hundredth of a Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close of Business on Marcx 0, 0000, (xx) xxx Close of Business on the 120th day following second anniversary of the execution Spin-Off (the earlier of the events described in clauses (i) and (ii) of this Agreement (sentence being referred to as the “"Final Expiration Date”"), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “"Redemption Date”), or ") and (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

Exercise of Rights; Purchase Price; Expiration Date of Rights. (a) The Subject to Section 34 hereof, the registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) ), in whole or in part part, at any time after the Distribution Date Date, upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof properly and duly executed, to the Rights Agent at the principal office Designated Office of the Rights Agent, together with payment of the Purchase Price for each Common one one-thousandth of a Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close of Business on the 120th day following the execution of this Agreement June 18, 2019 (the “Final Expiration Date”), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “Redemption Date”), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

(a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) ), in whole or in part part, at any time after the Distribution Date Date, upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each Common one one-hundredth of a Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close of Business on the 120th day following the execution of this Agreement October 18, 2009 (the “"Final Expiration Date”"), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “"Redemption Date”), or ") and (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

(a) The registered holder of any Right Rights Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) in whole or in part at any time after the Distribution Date upon surrender of the Right Rights Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office or offices of the Rights AgentAgent designated for such purpose, together with payment of the Purchase Price for each Common one one- hundredth of a Series One Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close close of Business business on the 120th day following the execution of this Agreement August 1, 2007 (the “"Final Expiration Date”"), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “"Redemption Date”"), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

Exercise of Rights; Purchase Price; Expiration Date of Rights. (a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) ), in whole or in part part, at any time after the Distribution Date Date, upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights AgentAgent designated for such purpose, together with payment of the Purchase Price for each Common one one-hundredth of a Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close of Business on the 120th day following the execution of this Agreement December 31, 2013 (the “"Final Expiration Date”"), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “"Redemption Date”"), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

Exercise of Rights; Purchase Price; Expiration Date of Rights. (a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) in whole or in part at any time after the Distribution Date upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each Common one one-hundredth of a Preferred Share as to which the Rights are exercised, at or prior to the earliest of (i) the Close close of Business business on the 120th day following the execution of this Agreement May 25, 2017, subject to extension (the “Final Expiration Date”), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “Redemption Date”), or and (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.

(a) The registered holder of any Right Certificate may, subject to the second paragraph of Section 11(a)(ii), may exercise the Rights evidenced thereby (except as otherwise provided herein) in whole or in part at any time after the Distribution Date upon surrender of the Right Certificate, with the form of election to purchase on the reverse side thereof duly executed, to the Rights Agent at the principal office of the Rights Agent, together with payment of the Purchase Price for each Common Share one one-hundredth of a Preferred Unit as to which the Rights are exercised, at or prior to the earliest of (i) the Close close of Business business on the 120th day following the execution of this Agreement [ ], 2016 (the “Final Expiration Date”), (ii) the time at which the Rights are redeemed as provided in Section 23 hereof (the “Redemption Date”), or (iii) the time at which such Rights are exchanged as provided in Section 24 hereof.
