Executive’s Duties. The Executive is employed on a full-time basis. Throughout the term of this Agreement, the Executive will use the Executive's best efforts and due diligence to assist the Company in achieving the most profitable operation of the Company and the Company's affiliated entities consistent with developing and maintaining a quality business operation. The Executive shall also devote all of Executive's working time, attention and energies to the performance of Executive's duties and responsibilities under this Agreement.

Executive’s Duties. (a) Executive shall be President and shall report directly to Employer's Chief Executive Officer or his designee. Executive shall faithfully and diligently perform his duties at the direction of Employer's Chief Executive Officer, or his designee, to the best of Executive's ability. Executive shall (i) devote his best efforts, skill, and ability and full business time and attention to the performance of the services customarily incident to such office, subject to vacations and sick leave as provided herein and in accordance with Employer policy, (ii) carry out his duties in a competent and professional manner; and (iii) generally promote the interests of Employer. Subject to applicable law, Executive shall not knowingly participate in any activity that is detrimental to the interests of Employer, DealerTrack Holdings, Inc. (the "Parent") or any of their affiliates, including, without limitation, any public criticism or disparagement of any type by Executive, through the media or otherwise, of Employer or any of its affiliates or employees, except in connection with the exercise of Executive's rights against Employer or any of its affiliates.

Throughout the term of this Agreement, the Executive will use his or her best efforts and due diligence to assist the Company in the objective of achieving the most profitable operation of the Company and the Company’s affiliated entities consistent with developing and maintaining a quality business operation and complying with applicable laws. Except as provided in paragraph 3, the Executive shall devote his or her entire business skill, time, and effort diligently to the affairs of the Company in accordance with the duties assigned to the Executive, and the Executive shall perform all such duties, and otherwise conduct himself/herself, in a manner reasonably calculated in good faith by him to promote the best interests of the Company.
Executive’s Duties. Executive will serve in the Position shown on Exhibit A, and in that position will assume such duties and perform such tasks as Company from time to time requires.
Executive’s Duties. (a) The Executive shall be the President of the Company and shall be responsible for the decision making for all day to day activities of the company unless the Executive delineates certain decision making privileges to company employees. The Executive will also fulfill the roles of the Treasurer and Secretary until such time whereby the company is sufficiently funded and retains new employees for those positions. At such time that a Treasurer/Chief Financial Officer and Secretary are hired by the Company, these titles shall be removed from executive’s duties.
Executive’s Duties. As CFO, (i) Executive’s responsibilities will include the duties set forth on Exhibit A and such other duties as determined by the Company’s Chief Executive Officer (“CEO”); (ii) all of Executive's powers and authority in any capacity shall at all times be subject to the reasonable direction and control of the CEO; (iii) the CEO may assign to Executive such duties for the Company or any, subsidiaries or affiliate as are consistent with Executive's status as CFO; and (iv) Executive shall devote his full business time, attention and energies as is necessary to competently and diligently fulfill his duties as CFO under this Agreement. During the Term it shall not be a violation of this Agreement for the Executive to (i) serve on corporate, civic or charitable boards or committees, but only with the CEO’s prior written consent, which shall not be unreasonably withheld; (ii) manage personal investments and engage in other business activities, so long as the activities described in items (i) and (ii) do not, individually or in the aggregate, interfere with the performance of the Executive’s responsibilities as an employee of the Company in accordance with this Agreement. It is expressly understood and agreed that to the extent that any such activities have been conducted by the Executive before the date hereof and have been disclosed in writing on the attached EXHIBIT B, the continued conduct of such activities in the same manner after the date hereof shall not thereafter be deemed to interfere with the performance of the Executive's responsibilities to the Company. Executive agrees to perform the duties attendant to Executive’s position, and such other duties as may be assigned from time to time, diligently, faithfully and at all times in the best interests of the Company. Executive further agrees that during Executive’s employment with the Company, Executive will not engage in discussions with a view toward, make application, plans or preparations, to form, to establish, to set up, or to become employed by, a Competitive Business.

The Executive's duties include those services customarily rendered by a general counsel of a publicly traded company of the size of the Company in the Company's industry, with such other duties and services as may reasonably be assigned to him from time to time in the conduct of the business of the Company.
