Common use of Execution and Binding Obligation Clause in Contracts

Execution and Binding Obligation. This Agreement has been duly executed and delivered by the Vendor and constitutes a legal, valid and binding agreement of the Vendor enforceable against it in accordance with its terms subject only to any limitation under applicable laws relating to (i) bankruptcy, winding-up, insolvency, arrangement and other laws of general application affecting the enforcement of creditors' rights, and (ii) the discretion that a court may exercise in the granting of equitable remedies such as specific performance and injunction;

Execution and Binding Obligation. This Agreement has been duly executed and delivered by the Vendor and constitutes a legal, valid and binding agreement of the Vendor Vendor, and assuming the due execution and delivery of this Agreement by the Purchasers, is enforceable against it the Vendor in accordance with its terms subject only to any limitation under applicable laws relating to to: (i) bankruptcy, winding-up, insolvency, arrangement and other laws of general application affecting the enforcement of creditors' ’ rights, and (ii) the discretion that a court may exercise in the granting of equitable remedies such as specific performance and injunction;

This Agreement has been duly executed and delivered by the Vendor and constitutes is a legal, valid and binding agreement obligation of the Vendor Vendor, enforceable against it by the Purchaser in accordance with its terms subject only to any limitation under applicable laws relating to (i) terms, except as enforcement may be limited by bankruptcy, winding-up, insolvency, arrangement insolvency and other laws of general application affecting the enforcement rights of creditors' rights, creditors generally and (ii) except that equitable remedies may be granted only in the discretion that of a court may exercise in the granting of equitable remedies such as specific performance and injunction;competent jurisdiction.
