Common use of Execution and Binding Obligation Clause in Contracts

Execution and Binding Obligation. This Agreement has been duly executed and delivered by the Purchaser, and constitutes a legal, valid and binding agreement of the Purchaser enforceable against it in accordance with its terms subject only to any limitation under bankruptcy, insolvency or other Law affecting the enforcement of creditors’ rights generally and the discretion that a court may exercise in the granting of equitable remedies such as specific performance and injunction.

This Agreement has been duly and validly executed and delivered by the Purchaser, Purchaser and constitutes a legal, valid and binding agreement obligation of the Purchaser Purchaser, enforceable against it Purchaser in accordance with its terms terms, subject only however, to any limitation under limitations with respect to enforcement imposed by Law in connection with bankruptcy, insolvency insolvency, reorganization or other Law Laws affecting the enforcement of creditors’ rights generally and to the discretion extent that a court may exercise in the granting of equitable remedies such as specific performance and injunctioninjunctions are only available in the discretion of the court from which they are sought.

This Agreement has been duly executed and delivered by the Purchaser, Purchaser and constitutes a legal, valid and binding agreement obligations of the Purchaser enforceable against it the Purchaser in accordance with its their respective terms subject only to any limitation under applicable Laws relating to: (i) bankruptcy, insolvency or winding-up, insolvency, arrangement and other Law similar Laws of general application affecting the enforcement of creditors’ rights generally rights; and (ii) the discretion that a court may exercise in the granting of equitable remedies such as specific performance and injunction.

Execution and Binding Obligation. This Agreement has been duly authorized, executed and delivered by the Purchaser, and constitutes a legal, valid and binding agreement obligation of the Purchaser enforceable against it in accordance with its terms subject only to any limitation under bankruptcy, insolvency insolvency, reorganization, moratorium or other Law Laws related to or affecting the enforcement rights of creditors’ rights creditors generally and the discretion that a court may exercise in the granting of equitable remedies such as specific performance and injunction.
