Common use of Exclusive Remedy Clause in Contracts

Exclusive Remedy. Except as otherwise expressly required by law (e.g., COBRA) or as specifically provided herein, all of the Executive’s rights to salary, severance, benefits, bonuses and other amounts hereunder (if any) accruing after the termination of Executive’s employment shall cease upon such termination. In the event of a Executive’s termination of Executive’s employment with the Company, the Executive’s sole remedy shall be to receive the payments and benefits described in this Section 45. In addition, Executive acknowledges and agrees that he or she is not entitled to any reimbursement by the Company for any taxes payable by Executive as a result of the payments and benefits received by Executive pursuant to this Section 45, including, without limitation, any excise tax imposed by Section 4999 of the Code.

Exclusive Remedy. Except as otherwise expressly required by law (e.g., COBRA) or as specifically provided herein, all of the Executive’s rights to salary, severancecompensation, benefits, bonuses and other amounts hereunder (if any) accruing after the termination of Executive’s employment by the Company shall cease upon such termination. In the event of a termination of Executive’s employment with by the CompanyCompany under this Agreement, the Executive’s sole remedy shall be to receive the payments and benefits described in this Section 42. In addition, Executive acknowledges and agrees that he or she is not entitled to any reimbursement by the Company for any taxes payable by Executive as a result of the payments and benefits received by Executive pursuant to this Section 42, including, without limitation, any excise tax imposed by Section 4999 of the Internal Revenue Code of 1986, as amended (the “Code”).
