Excluded or Disqualified. The Subgrantee certifies that to the best of the Subgrantee’s knowledge and belief the Subgrantee and its principals:

Excluded or Disqualified. The Subgrantee certifies that to the best of the Subgrantee’s knowledge and belief the Subgrantee and its principals: Are not presently excluded or disqualified (debarment, suspension and other responsibility matters); Have not been convicted within the preceding three years of any of the offenses listed in 45 CFR 1185.800(a), (xxx.xxx/xxxxx/xxx/XXX-0000-xxxxx00-xxx0/xxx/XXX-0000-xxxxx00-xxx0-xxxx0000-xxxxxxxX.xxx (as of September 2019)) incorporated by reference, or had a civil judgment rendered against them for one of those offenses within that time period; Are not presently indicted for or otherwise criminally or civilly charged by a governmental entity (federal, state or local) with commission of any of the offenses listed in 45 CFR 1185.800(a) (xxx.xxx/xxxxx/xxx/XXX-0000-xxxxx00-xxx0/xxx/XXX-0000-xxxxx00-xxx0-xxxx0000-xxxxxxxX.xxx (as of September 2019)), incorporated by reference; and Have not had one or more public transactions (federal, state or local) terminated within the preceding three years for cause or default.   • Disqualifying Offenses If at any time it is determined that a person has been found guilty of a misdemeanor or felony offense as a result of a trial or has entered a plea of guilty or nolo contendere, regardless of whether adjudication was withheld, within the last six (6) years from the date of the court’s determination for the crimes listed below, or their equivalent in any jurisdiction, the Contractor is required to immediately remove that person from any position with access to State of Florida data or directly performing services under the Contract. The disqualifying offenses are as follows:

  • Excluded Claims Notwithstanding the foregoing, the following are not included in the Released Claims (the “Excluded Claims”): (i) any rights or claims for indemnification you may have pursuant to any written indemnification agreement with the Company to which you are a party, the charter, bylaws, or operating agreements of the Company, or under applicable law; (ii) any rights which are not waivable as a matter of law; and (iii) any claims for breach of this Agreement. In addition, nothing in this Agreement prevents you from filing, cooperating with, or participating in any proceeding before the Equal Employment Opportunity Commission, the Department of Labor, or any other government agency, except that you acknowledge and agree that you are hereby waiving your right to any monetary benefits in connection with any such claim, charge or proceeding. You hereby represent and warrant that, other than the Excluded Claims, you are not aware of any claims you have or might have against any of the Released Parties that are not included in the Released Claims.

  • Sponsored Investment Entity and Controlled Foreign Corporation A Financial Institution described in subparagraph B(1) or B(2) of this section having a sponsoring entity that complies with the requirements of subparagraph B(3) of this section.
