Notwithstanding anything to the contrary herein, Buyer shall not assume and shall not be responsible to pay, perform perform, discharge when due or discharge otherwise become responsible or liable for any of the following liabilities or obligations of Seller and its Subsidiaries (collectively, the “Excluded Liabilities”):
