The Company is in compliance in all material respects with the applicable requirements of the Nasdaq Global Market for maintenance of inclusion of the Common Stock thereon.

The Company is in compliance has complied in all material respects with the applicable requirements of the Nasdaq Global Principal Market for maintenance of inclusion of the Common Stock thereon.

The Company has filed an application to include the Securities on the Nasdaq Global Select Market.
