Exchange Agent Agreement. Buyer, Stockholder Representative and Exchange Agent shall have executed and delivered the Exchange Agent Agreement in substantially the form set forth on Exhibit C, and the Merger Consideration shall have been transferred by Buyer to Exchange Agent in accordance with the terms of this Agreement and the Exchange Agent Agreement.
Exchange Agent Agreement. As of the Closing Date, Parent shall have entered into an exchange agent agreement with the Exchange Agent pertaining to the exchange of shares of Company Common Stock for shares of Parent Capital Stock as contemplated hereby, including a form of letter of transmittal, in form and substance satisfactory to the Company.
Exchange Agent Agreement. The Exchange Agent Agreement, duly executed by the Parent and the Exchange Agent;
Exchange Agent Agreement. A duly executed exchange agent agreement if required by the Exchange Agent;
Exchange Agent Agreement. The Purchaser shall have entered into the Exchange Agent Agreement with the Stockholder Representative and the Exchange Agent; and
Exchange Agent Agreement. Parent and the Exchange Agent shall have executed and delivered to Representative the Exchange Agent Agreement.
Exchange Agent Agreement. Other than the Bank and BNC, all parties to the Exchange Agent Agreement shall have entered into such agreement and there shall have been no notice that any such other parties do not intend to honor such agreement.
Exchange Agent Agreement. Exchange Agent, Target, and Acquiror will have entered into the Exchange Agent Agreement.
Exchange Agent Agreement. Larizza, Acquisition and Parent shall execute an exchange agent agreement with the Exchange Agent in customary form for a cash merger and deliver it to the other parties to such agreement at the Closing.
Exchange Agent Agreement. The Exchange Agent Agreement shall be executed by the parties thereto and delivered to the Company.
