Exchange Act and NASDAQ Listing. (a) The Sun Common Stock is registered with the SEC pursuant to the Exchange Act and Sun has timely filed with the SEC all material forms, reports, registrations, statements and certifications required by Applicable Law to be filed by Sun with the SEC, together with all required amendments thereto, which, taken as a whole, are true and correct in all material respects, and do not misstate a material fact or omit to state a material fact required to be stated therein or necessary to make the statements contained therein, in light of the circumstances under which they were made, not misleading.

Exchange Act and NASDAQ Listing. (a) The Omega Common Stock is registered with the SEC pursuant to the Exchange Act and Omega has timely filed with the SEC all material forms, reports, registrations, statements and certifications required by Applicable Law to be filed by Omega with the SEC, together with all required amendments thereto, which, taken as a whole, are true and correct in all material respects, and do not misstate a material fact or omit to state a material fact required to be stated therein or necessary to make the statements contained therein, in light of the circumstances under which they were made, not misleading.
Exchange Act and NASDAQ Listing. The Company is subject to and in compliance in all material respects with the reporting requirements of Section 13 or Section 15(d) of the Exchange Act. The Common Shares are registered pursuant to Section 12(b) of the Exchange Act and are listed on Nasdaq, and the Company has taken no action designed to, or reasonably likely to have the effect of, terminating the registration of the Common Shares under the Exchange Act or delisting the Common Shares from Nasdaq, nor has the Company received any notification that the Commission or Nasdaq is contemplating terminating such registration or listing. The Company is in compliance with the current listing standards of Nasdaq. The Company has filed a Notification of Listing of Additional Shares with Nasdaq with respect to the Placement Shares.
