EXCEPTION DOCUMENTS. Landlord represents and warrants and Tenant acknowledges and agrees that, as of the Commencement Date, this Lease and Tenant’s use of the Premises is subject to the “Exception Documents” set forth on Exhibit F attached hereto and incorporated by reference. Without limiting the foregoing, this Lease is subject in all respect to the Declaration of Covenants, Conditions and Restrictions and Reservation of Easements for The Charleston Business Center made March 10, 1998, by Xxxxxx Xxxxxx Properties, Limited Partnership (the “Declaration”), the Articles, the Bylaws, the Rules, the Design Criteria and any other documents governing the operation of the Association, the use of the Lots, the Common Area, or the maintenance and repair of the Lots, the Common Area, and Improvements, as from time to time amended, modified or supplemented (the “Governing Documents”). Construction Documents include, but are not limited to, the Specifications, the Drawings, the Supplementary Conditions, the General Conditions, and all Addenda.

When a Soliciting Dealer’s internal supervisory procedures are conducted at the site at which the Subscription Agreement and check were initially received by the Soliciting Dealer from the subscriber, the Soliciting Dealer shall transmit the Subscription Agreement and check to the Escrow Agent by the end of the next business day following receipt of the check and Subscription Agreement. When, pursuant to Soliciting Dealer’s internal supervisory procedures, the Soliciting Dealer’s final internal supervisory procedures are conducted at a different location (the “Final Review Office”), the Soliciting Dealer shall transmit the check and Subscription Agreement to the Final Review Office by the end of the next business day following the Soliciting Dealer’s receipt of the Subscription Agreement and check. The Final Review Office will, by the end of the next business day following its receipt of the Subscription Agreement and check, forward both the Subscription Agreement and check to the Escrow Agent. If any Subscription Agreement solicited by the Soliciting Dealer is rejected by the Dealer Manager or the Company, then the Subscription Agreement and check will be returned to the rejected subscriber within ten (10) business days from the date of rejection.

  • Organization Documents Amend, modify or otherwise change any of the terms or provisions in any of its Organization Documents as in effect on the date hereof, except for changes that do not affect in any way such Borrower’s or any of its Subsidiaries’ rights and obligations to enter into and perform the Loan Documents to which it is a party and to pay all of the Obligations and that do not otherwise have a Material Adverse Effect.
