Except for the Nevada. Power Sale Agreement or as set forth on Schedule 6.1(l), no proceedings are presently pending or, to any of the Parents' or Seller's knowledge, threatened, for the taking by exercise of the power of eminent domain, or in any other manner for a public or quasi-public purpose, of all or any part of the Real Estate, the Corner Land or the Residential Real Estate. Except as set forth on Schedule 6.1(l), to Parents' and Seller's knowledge, there is no plan, study or effort by any governmental authority or agency that in any way materially adversely affects or which would reasonably be expected to materially adversely affect the present or future use or zoning of the Real Estate, the Corner Land or the Residential Real Estate.
