Events Post Commencement Date. Each Partner (“the First Partner”) will indemnify and keep indemnified the other Partner against all liabilities arising directly or indirectly from any events acts or omissions of the First Partner or its employees or contractors in respect of the Functions which shall occur during the period in which the relevant Functions shall be included in the Arrangements save to the extent that such liability shall arise out of any act or omission of the other Partner or its employees and contractors.
