Common use of Escrow Agent’s Fee Clause in Contracts

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit D, which compensation shall be paid by the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Agreement; provided, however, that if the conditions for the disbursement of funds under this Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Agreement, or there is any assignment of interest in the subject matter of this Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s 's services as contemplated by this Agreement; provided, however, in the event that if the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Agreement, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to or justifiably intervenes in any litigation pertaining to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s fees, attorney fees occasioned by any delay, controversy, litigation or event, and the same shall may be recoverable from the Company. The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this AgreementCompany only.

The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s 's services as contemplated by this Agreement; provided, however, that if the conditions for the disbursement of funds under this Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Agreement, or there is any assignment of interest in the subject matter of this Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s 's fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit D, which compensation shall be paid by the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Escrow Agreement, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit D, which compensation shall be paid by the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Agreement; provided, however, that if (i) the conditions for the disbursement of funds under this Agreement are not fulfilled, or (ii) the Escrow Agent renders any material service not contemplated in this Agreement, or (iii) there is any assignment of interest in the subject matter of this Agreement, or (iv) there is any material modification hereof, or if (v) any material controversy arises hereunder, or (vi) the Escrow Agent is made a party to any litigation pertaining to this Agreement, Agreement or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 6 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to ------------------ compensation for its services as stated in the fee schedule attached hereto as Exhibit DA, which compensation shall be paid by the CompanyCUSTOMER. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s 's services as contemplated by this Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Agreement, or there is any assignment of interest in the subject matter of this Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s 's fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this AgreementCUSTOMER.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit DC, which compensation shall be paid by the CompanyFund or any of its affiliates. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this AgreementEscrow Agreement with the Fund’s consent, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereofhereof with the Fund’s consent, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining relating to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all reasonable costs and expenses, including reasonable attorney’s feesfees and expenses, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from paid by the CompanyFund or any of its affiliates. The CompanyFund’s obligations under this Section 8 7 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Escrow Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit D, which compensation shall be paid by the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Escrow Agreement, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining relating to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s feesfees and expenses, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from paid by the Company. The Company’s obligations under this Section 8 9 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Escrow Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit DC, which compensation shall be paid by the CompanyFund or any of its affiliates. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this AgreementEscrow Agreement with the Fund’s or the Intermediary Manager’s consent or as required by law, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereofhereof with the Fund’s consent, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining relating to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all reasonable costs and expenses, including reasonable attorney’s feesfees and expenses, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from paid by the CompanyFund or any of its affiliates. The CompanyFund’s obligations under this Section 8 7 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Escrow Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit DB, which compensation shall be paid by the CompanyIssuer. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Agreement; provided, however, that if (a) the conditions for the disbursement of funds under this Agreement are not fulfilled, or (b) the Escrow Agent renders any material service not contemplated in this Agreement, or (c) there is any assignment of interest in the subject matter of this Agreement, or (d) there is any material modification hereof, or if (e) any material controversy arises hereunder, or (f) the Escrow Agent is made a party to any litigation pertaining to this Agreement, Agreement or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all reasonable costs and expenses, including reasonable attorney’s fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the CompanyIssuer. The CompanyIssuer’s obligations under this Section 8 6 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit DC, which compensation shall be paid by or on behalf of the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Agreement; provided, however, that if the conditions for the disbursement of funds under this Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Agreement, or if there is is, with the Company’s consent, any assignment of interest in the subject matter of this Agreement, Agreement or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all its reasonable and documented out-of-pocket costs and expenses, including reasonable attorney’s fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 6 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit D, which compensation shall be paid by the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Escrow Agreement, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining relating to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all reasonable costs and expenses, including reasonable attorney’s feesfees and expenses, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from paid by the Company. The Company’s obligations under this Section 8 6 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Escrow Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit D, which compensation shall be paid by the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s 's services as contemplated by this the Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this the Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this the Escrow Agreement, or there is any assignment of interest in the subject matter of this the Escrow Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this the Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated by the Company for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s 's fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit D, which compensation shall be paid by the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Agreement; provided, however, that if (a) the conditions for the disbursement of funds under this Agreement are not fulfilled, or (b) the Escrow Agent renders any material service not contemplated in this Agreement, or (c) there is any assignment of interest in the subject matter of this Agreement, or (d) there is any material modification hereof, or if e) any material controversy arises hereunder, or (f) the Escrow Agent is made a party to any litigation pertaining to this Agreement, Agreement or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 6 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the signed fee schedule attached hereto as Exhibit Dschedule, which compensation shall be paid by the CompanyNodak Mutual. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Escrow Agreement, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining relating to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s feesfees and expenses, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Companypaid by Nodak Mutual. The CompanyNodak Mutual’s obligations under this Section 8 6 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Escrow Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit D, which compensation shall be paid by the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Agreement; provided, however, that if the conditions for the disbursement of funds under this Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Agreement, or there is any assignment of interest in the subject matter of this Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 6 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit DB, which compensation shall be paid by the CompanyMCF. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Escrow Agreement, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this AgreementMCF.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit D, which compensation shall be paid by the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s 's services as contemplated by this Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Escrow Agreement, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s 's fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Escrow Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to be paid fees as indicated on Schedule A attached hereto as compensation for its services as stated in hereunder (plus its customary charge with respect to the fee schedule attached hereto as Exhibit D, which compensation shall be paid by the Companyissuance of any checks). The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s 's services as contemplated by this Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Agreement, or there is any assignment of interest in the subject matter of this Agreement, Escrow Agreement or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to or intervenes in any litigation pertaining to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs cost and expenses, including reasonable attorney’s attorneys' fees, occasioned by any delay, controversy, or litigation except to the extent arising from or eventoccasioned by Escrow Agent's negligence, and the same shall may only be recoverable from the Company. The Company’s obligations under this Section 8 shall survive Company and not from the resignation or removal of the Escrow Agent and the assignment or termination of this AgreementDeposited Funds.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to Two Thousand and Five Hundred Dollars ($2,500.00) as total compensation for its services as stated in rendered pursuant to the fee schedule attached hereto as Exhibit Dterms hereof, which compensation shall be paid by the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s 's services as contemplated by this Agreement; provided, however, that if in the conditions for the disbursement of funds under this Agreement are not fulfilled, or event that (i) the Escrow Agent renders at the Company's written request any material service not contemplated in this Agreement, or (ii) there is any assignment of interest in the subject matter of this Agreement, or (iii) the parties agree to any material modification hereofhereof pursuant to Section 14, below, or if (iv) any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Agreement, or the subject matter hereofhereof (collectively, a "Material Change"), then the Escrow Agent shall be reasonably compensated for such extraordinary services and and/or reimbursed for any and all costs and expenses, including reasonable attorney’s attorneys' fees, occasioned incurred by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and as a direct result of any such Material Change, which shall be paid by the assignment or termination Company upon receipt of this Agreementan invoice from the Escrow Agent with reasonable supporting documentation therefor.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to _____________ Dollars ($______) as total compensation for its services as stated in rendered pursuant to the fee schedule attached hereto as Exhibit Dterms hereof, which compensation shall be paid by the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s 's services as contemplated by this Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Agreement, or there is any assignment of interest in the subject matter of this Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s attorneys' fees, occasioned by any delay, controversy, litigation or event, and all of the same foregoing shall be recoverable from the Company. The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit DA, which compensation shall be paid by the CompanyPlacement Agent. The fee agreed upon for the services rendered hereunder is in intended as full compensation for the Escrow Agent’s 's services as contemplated by this Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Escrow Agreement, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s 's fees, ,. occasioned by any delay, controversy, litigation or event, and the same shall be recoverable jointly and severally from the Company. The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Placement Agent and the assignment or termination of this AgreementCompany.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit DA, which compensation shall be paid by the CompanyMCF. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s 's services as contemplated by this Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Escrow Agreement, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s 's fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable solely from the Company. The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this AgreementMCF.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit DB, which compensation shall be paid by the Company. The fee agreed upon for the ordinary services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Agreement; provided, however, that if the conditions for the disbursement of funds under this Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Agreement, or there is any assignment of interest in the subject matter of this Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all its out-of-pocket costs and expenses, including reasonable attorney’s fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 7 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit DA, which compensation shall be paid by the Company. The fee agreed upon for the services rendered hereunder is in intended as full compensation for the Escrow Agent’s 's services as contemplated by this Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Escrow Agreement, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s 's fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable jointly and severally from the Company. The Company’s obligations under this Section 8 shall survive the resignation or removal Agent of the Escrow Agent Issuer and the assignment or termination of this AgreementCompany.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit D, which compensation shall be paid by the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s 's services as contemplated by this Agreement; provided, however, that if (a) the conditions for the disbursement of funds under this Agreement are not fulfilled, or (b) the Escrow Agent renders any material service not contemplated in this Agreement, or (c) there is any assignment of interest in the subject matter of this Agreement, or (d) there is any material modification hereof, or if e) any material controversy arises hereunder, or (f) the Escrow Agent is made a party to any litigation pertaining to this Agreement, Agreement or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s 's fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s 's obligations under this Section 8 6 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

Escrow Agent’s Fee. The Escrow Agent shall be entitled to be paid the sum of one hundred fifty dollars and no cents ($150.00) as compensation for its services as stated in the fee schedule attached hereto as Exhibit D, which compensation shall be paid by the Companyhereunder. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s 's services as contemplated by this Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Escrow Agreement, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to to, or justifiably intervenes in, any litigation pertaining to this Agreement, Escrow Agreement or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s attorneys' fees, occasioned by any delay, controversy, litigation or event, and the same shall may be recoverable from the CompanyPurchaser and the Seller. The Company’s obligations under this Section 8 Escrow Agent shall survive xxxx each of the resignation or removal Seller and the Purchaser for one-half of the above-referenced fee. Each of the Seller and the Purchaser shall pay the Escrow Agent and the assignment or termination said fee within five (5) business days of this Agreementtheir receipt of such invoices.

The Company’s Company‘s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

The Company’s 's obligations under this Section 8 6 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

Escrow Agent’s Fee. ​ The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit DC, which compensation shall be paid by the CompanyFund or any of its affiliates. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Escrow Agreement; provided, however, that if in the event that the conditions for the disbursement of funds under this Escrow Agreement are not fulfilled, or the Escrow Agent renders any material service not contemplated in this Escrow Agreement, or there is any assignment of interest in the subject matter of this Escrow Agreement, or any material modification hereofhereof with the Fund’s consent, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining relating to this Escrow Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all reasonable costs and expenses, including reasonable attorney’s feesfees and expenses, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from paid by the CompanyFund or any of its affiliates. The CompanyFund’s obligations under this Section 8 7 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Escrow Agreement.. ​

Escrow Agent’s Fee. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit DC, which compensation shall be paid by or on behalf of the Company. The fee agreed upon for the services rendered hereunder is intended as full compensation for the Escrow Agent’s services as contemplated by this Agreement; provided, however, that if the conditions for the disbursement of funds under this Agreement are not fulfilled, or the Escrow Agent Agent, at the Company’s direction or with the Company’s consent, renders any material service not contemplated in this Agreement, or if there is is, with the Company’s consent, any assignment of interest in the subject matter of this Agreement, Agreement or any material modification hereof, or if any material controversy arises hereunder, or the Escrow Agent is made a party to any litigation pertaining to this Agreement, or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all its reasonable and documented out-of-pocket costs and expenses, including reasonable attorney’s fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 6 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

The Company’s obligations under this Section 8 6 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Escrow Agreement.

The fee agreed upon for the services rendered hereunder is intended as full PAC:19638.2 compensation for the Escrow Agent’s services as contemplated by this Agreement; provided, however, that if (a) the conditions for the disbursement of funds under this Agreement are not fulfilled, or (b) the Escrow Agent renders any material service not contemplated in this Agreement, or (c) there is any assignment of interest in the subject matter of this Agreement, or (d) there is any material modification hereof, or if (e) any material controversy arises hereunder, or (f) the Escrow Agent is made a party to any litigation pertaining to this Agreement, Agreement or the subject matter hereof, then the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs and expenses, including reasonable attorney’s fees, occasioned by any delay, controversy, litigation or event, and the same shall be recoverable from the Company. The Company’s obligations under this Section 8 6 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.

The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.
