Common use of Equity Rights Clause in Contracts

Equity Rights. With respect to any Person, any subscriptions, options, warrants, commitments preemptive rights or agreements of any kind (including without limitation, any shareholders’ or voting trust agreements) for the issuance, sale, registration or voting of, or securities convertible into, any additional shares of capital stock of any class, or partnership or other ownership interests of any type, in such Person.

Equity Rights. With respect to any Personperson, any then outstanding subscriptions, options, warrants, commitments commitments, preemptive rights or agreements of any kind (including without limitation, any shareholdersstockholders’ or voting trust agreements) for the issuance, sale, registration or voting of, or securities convertible into, of any additional shares of capital stock Equity Interests of any class, or partnership or other ownership interests of any typetype in, in such Personperson; provided, however, that a debt instrument convertible into or exchangeable or exercisable for any Equity Interests shall not be deemed an Equity Right.
