Equity Documents. Each of the following documents and all other contracts and documents required in connection with the Equity Commitment:
Equity Documents. Such consent and waiver shall be effective only in this specific instance and for this specific purpose and shall not permit any further departure from the terms of the Loan Documents, all of which shall remain in full force in effect (except as expressly set forth in this Amendment) and are hereby ratified and confirmed.

Receipt by the Administrative Agent of a certificate signed by a Responsible Officer of the Borrower attaching executed copies of each document necessary to effectuate the Share Purchase Agreement and authorize the Borrower’s entry into the ROFR Side Letter, including, without limitation, (i) the Restated Articles, (ii) the Rights Agreement, (iii) the Voting Agreement and (iv) ROFR Agreement, in each case as such terms are defined in the Share Purchase Agreement and in form and substance satisfactory to the Lenders.
Equity Documents. In consideration of the financial accommodations being provided to Borrowers by the Term C Lender pursuant to this Amendment and Amendments 4(a), 4(b) and 4(c), the parties hereto hereby agree as follows:
Equity Documents. The Parent has delivered to the Administrative Agent a complete and correct copy of each of the Equity Documents, including all schedules and exhibits thereto.

Equity Documents. (a) Any Equity Document shall fail to be in full force and effect (other than due to a termination thereof in accordance with the terms hereof and thereof) or any Equity Party shall repudiate any of its obligations thereunder.
