Equipment Reports. Employees shall immediately report all defects of equipment. Such reports shall be made on a suitable form furnished by the Employer and shall be made in multiple copies, one copy to be retained by the employee.

All equipment which is refused, or has been written up for repair, because not mechanically sound or properly equipped, shall be appropriately tagged, and placed out of service, so that it cannot be used by other drivers, or employees, until the Automotive/ Maintenance Department has adjusted the complaint. Employees shall immediately, or at the end of their shifts, report all known defects of equipment on a suitable form furnished by the Employer. The Employer shall not ask or require any employee to utilize equipment that has been reported by any other employee as being in an unsafe condition. Such equipment will be red tagged, as necessary, by automotive/maintenance personnel. The tag must not be removed until the Automotive/Maintenance Department has determined that the vehicle/equipment is in a safe operating condition or, where no Automotive/Maintenance Department exists, qualified management will make the deciding determination. Management not qualified to make such a determination, will consult with qualified automotive/maintenance personnel before removing a red tag. Equipment Reports. On or before April 30, 1999, and on or ----------------- before each April 30 thereafter, the Manager will furnish to the Lessors, Owner Participants and the Indenture Trustees an accurate statement, as of the preceding December 31, (a) showing the amount, description and reporting marks of the Units then leased under the Leases, the amount, description and reporting marks of all Units that may have suffered an Event of Loss during the 12 months ending on such December 31 (or since the Closing Date, in the case of the first such statement), and such other information regarding the condition or repair of the Equipment as any Lessor may reasonably request, (b) stating that, in the case of all Equipment repainted during the period covered by such statement, the markings required by the applicable Lease shall have been preserved or replaced, (c) showing the percentage of use in the United States and in each of Canada and Mexico based on the total mileage traveled by the Manager's Fleet and the Equipment, as a whole (or by the Units, if and to the extent generally made available to the Manager in the ordinary course with respect to railcars in general interchange service similar to the Units) for the prior calendar year as reported to the Marks Company by railroads (provided, that the Manager shall cooperate with the Owner Participants and Lessors and shall provide such additional information on such matters as any Owner Participant or any Lessor may reasonably request to enable such Owner Participant or such Lessor to pursue or fulfill its respective tax audit and tax litigation rights and obligations), and (d) stating that the Manager is not aware of any condition of any Unit which would cause such Unit not to comply in any material respect with the rules and regulations of the FRA and the interchange rules of the Field Manual of the AAR as they apply to the maintenance and operation of the Equipment in interchange.

The Employer shall not ask or require any employee to take out equipment that has been reported by any other employee as being in an unsafe operating condition until the same has been repaired or is certified by a mechanical department that no repairs are needed and the unit is safe to drive. When the occasion arises where an employee gives written report on forms in use by the Employer of a vehicle being in an unsafe working or operating condition and receives no consider- ation from the Employer, he/she shall take the matter up with the officers of the Union who will take the matter up with the Employer.
