Entire Plan. This Plan constitutes the entire agreement among the Parties with respect to the subject matter of this Plan and supercedes all prior agreements and understandings, both oral and written, among the parties with respect to the subject matter of this Plan.
Entire Plan. This Plan contains the entire understanding of the Participating Company and the Executive with respect to the subject matter hereof. Notwithstanding anything to the contrary, if the Executive is entitled to the payments provided for under this Plan in the event of the Executive’s termination of employment and any other employment, retention, severance, or similar agreement with a Participating Company or any Subsidiary to which the Executive is a party or any severance pay plan or program of a Participating Company or any Subsidiary in which the Executive is a participant (an “Other Severance Arrangement”), the Executive will be entitled to severance benefits under either this Plan or the Other Severance Arrangement, whichever provides for greater benefits, but will not be entitled to benefits under both this Plan and the Other Severance Arrangement.
Entire Plan. This document and any amendments hereto contain all the terms and provisions of the Plan and shall constitute the entire Plan, any other alleged terms or provisions being of no effect.
Entire Plan. This Plan sets forth the entire understanding of the Parties relating to the subject matter hereof, and all prior understandings, written or oral, with respect to the subject matter hereof, are superseded by this Plan. This Plan may not be modified, amended, waived, or supplemented except as provided herein. This Plan includes a “State Specific Variations” Exhibit that specifies any changes to these terms specific to any state law that may be applicable. All capitalized terms have the meaning provided as defined in Section 1 or within the section the capitalized term is defined or Used.
Entire Plan. All Article headings in this Adoption Agreement correspond with the Articles in the Core Document. Except where indicated, the numbers in parentheses which follow the numbered headings within each Article refer to sections in the Core Document. Plan Sponsor makes the following elections granted under the corresponding provisions of the Core Document.
Entire Plan. This document is a complete statement of the Plan. As of its Effective Date this document supersedes all prior plans, representations and proposals, written or oral, relating to the matters set forth herein. The Company shall not be bound by or liable to any person for any representation, promise or inducement made by any employee or agent of it which is not embodied in this document or in any authorized written amendment to the Plan.

In the event an Executive who is employed by SFR Tobacco International GmbH (“SFRTI”) is entitled to benefits under an Other Severance Arrangement that SFRTI is legally required to provide, the Executive will be entitled to benefits under both such Other Severance Arrangement and this Plan, but benefits under this Plan will be offset by benefits under such Other Severance Arrangement to the extent such offset will not result in income tax inclusion under Code Section 409A(a)(1)(A).
Entire Plan. The Plan contains the entire understanding of the Employer and the Executive with respect to the subject matter herein. The Severance Benefits shall be in lieu of and reduced by any severance, notice, termination pay or the like that may be payable under any plan or practice of the Employer, or that may be payable by any Federal, state, local, or foreign law, statute, regulation, ordinance, or the like (including the WARN Act or any similar state or foreign law). Any Severance Benefits will be offset against any severance, notice, or termination pay required to be paid by the Corporation or its Affiliates pursuant to federal, state, or local law or ordinance.
