Common use of Entire Business Clause in Contracts

Entire Business. The sale of the Company Assets by Seller to Buyer pursuant to this Agreement will effectively convey to Buyer the entire Business and all of the tangible and intangible assets and property used by Seller (whether owned, leased or held under license by Seller, by any of Seller's affiliates or by others) in connection with the conduct of the Business as heretofore conducted by Seller. The Company Assets listed on Schedule 1.3 constitute all of the assets necessary to conduct the Business as currently conducted and as proposed to be conducted.

Entire Business. The sale of the Company Purchased Assets by Seller to Buyer Purchaser pursuant to this Agreement will effectively convey to Buyer Purchaser the entire Business and all of the tangible and intangible assets and property used by Seller (whether owned, leased or held under license by Seller, by any of Seller's affiliates or by others) in connection with the conduct of the Business as heretofore conducted by Seller. The Company Assets listed on Schedule 1.3 constitute all of Seller (except for the assets necessary to conduct the Business as currently conducted and as proposed to be conductedExcluded Assets).

The sale of Assets to be sold by the Company Assets by Seller to Buyer the Purchaser pursuant to this Agreement will effectively convey to Buyer the Purchaser the entire Business of, and all of the tangible and intangible assets and property used by by, the Seller (whether owned, leased or held under license by Seller, by any of Seller's affiliates or by others) in connection with the conduct of the Business as heretofore conducted by the Seller (except for the Excluded Assets). There are no facilities, services, assets or properties shared with any other Person which are used by the Seller. The Company Assets listed on Schedule 1.3 constitute all of the assets necessary to conduct the Business as currently conducted and as proposed to be conducted.

The Subject to Section 1.08, the sale of the Company Assets by Seller Sellers to Buyer Purchaser pursuant to this Agreement will effectively convey to Buyer Purchaser the entire Business and all of the tangible and intangible assets and property used by Seller (whether owned, leased or held under license by Seller, by any of Seller's affiliates or by others) Sellers in connection with the conduct of the Business as heretofore conducted by Seller.
