Entire Business. There are no facilities, services, assets or properties shared with any other Person, which are used in connection with the Business of the Group Companies.
Entire Business. No Group Company shares or provides any facilities, operational services, assets or properties with or to any other entity which is not a Group Company.
Entire Business. Except as otherwise disclosed in Section 3.27 of the Disclosure Schedule, no Group Company shares or provides any facilities, operational services, assets or properties with or to any other entity which is not a Group Company.
Entire Business. The Group Companies are engaged solely in the Principal Business and have no other business activities. There are no material facilities, services, assets or properties shared with any entity other than the Group Company which are used in connection with the businesses of the Group Companies.

Except as set forth in Schedule 4.1(q), the NBC --------------- --------------- Multimedia Assets, and the Videoseeker Assets, including the License Agreement, will enable Xenon 2 to conduct the NBC Multimedia Businesses after the Effective Time in substantially the same manner as they are currently being conducted.
Entire Business. Except as disclosed in Section 3.18 of the Disclosure Schedule, there are no facilities, services, assets or properties shared with or provided by any other entity which is not a Group Company, which are used in connection with any business of any Group Company.

The sale of the Company Assets by Seller to Buyer pursuant to this Agreement will effectively convey to Buyer the entire Business and all of the tangible and intangible assets and property used by Seller (whether owned, leased or held under license by Seller, by any of Seller's affiliates or by others) in connection with the conduct of the Business as heretofore conducted by Seller. The Company Assets listed on Schedule 1.3 constitute all of the assets necessary to conduct the Business as currently conducted and as proposed to be conducted.
Entire Business. Except for the Excluded Assets, and except as set forth on Schedule 4.23, the Assets, together with the License Agreement, constitute all of the assets, properties and rights necessary to conduct the Business in all material respects as currently conducted. Other than ELAC, Sellers have no subsidiaries primarily engaged in the Business.
