Common use of Entire Agreement; No Waiver Clause in Contracts

Entire Agreement; No Waiver. This Agreement and any instruments and agreements to be executed pursuant to this Agreement, sets forth the entire understanding of the parties hereto with respect to its subject matter, merges and supersedes all prior and contemporaneous understandings with respect to its subject matter and may not be waived or modified, in whole or in part, except by a writing signed by each of the parties hereto. No waiver of any provision of this Agreement in any instance shall be deemed to be a waiver of the same or any other provision in any other instance. Failure of any party to enforce any provision of this Agreement shall not be construed as a waiver of its rights under such provision.

This Agreement and any the documents and instruments and agreements referred to be executed pursuant to this Agreement, sets forth therein constitute the entire understanding of agreements between the parties hereto with respect pertaining to its the subject matter, merges matter thereof and supersedes supersede all prior and contemporaneous agreements and understandings of the parties, and there are no warranties, representations or other agreements among the parties in connection with respect to its the subject matter thereof except as specifically set forth therein. No supplement, modification or waiver or termination of this Agreement shall be binding unless executed in writing by the party against whom it is asserted and may not be waived or modified, in whole or in part, except delivered by a writing signed by that party to each of the parties heretoother parties. No waiver of any provision of this Agreement in any instance shall be deemed to be a waiver of the same or any other provision in any other instance. Failure of any party to enforce any provision provisions of this Agreement shall not be construed as deemed or shall constitute a waiver of its rights under any other provisions thereof (whether or not similar), nor shall such provisionwaiver constitute a continuing waiver.
