Common use of Entire Agreement; No Waiver Clause in Contracts

Entire Agreement; No Waiver. This Agreement and its exhibit contain the entire agreement of the Parties with respect to the subject matter hereof and no provisions of this Agreement may be changed or modified except by written instrument signed by the Parties. The failure or delay of either Party in enforcing any of its rights under this Agreement shall not be deemed a continuing waiver or modification of such rights.

Either party’s failure to insist upon strict performance of the Parties with respect to the subject matter hereof and no provisions any provision of this Agreement may be changed or modified except by written instrument signed by the Parties. The failure or delay of either Party in enforcing exercise any of its rights right under this Agreement shall not be deemed construed as a continuing waiver or modification of such rightsprovision or right, nor shall such failure excuse the other party from future performance.
