Entire Agreement; Headings. This Agreement, including the schedules hereto, constitutes the entire agreement of the parties with respect to the subject matter hereof and may not be changed, terminated or discharged orally. The headings appearing in this Agreement have been inserted solely for the convenience of the parties and shall be of no force or effect in the construction of the provisions of this Agreement.
