This Agreement contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, oral or written, understandings between the parties hereto with respect to the subject matter hereofthereto. This Agreement may not be amended orally, but only by an agreement in writing signed by the parties heretohereto and authorized by the Company’s Board of Directors.
