The Subject to subclause 28.4 below, the courts of England have exclusive jurisdiction to settle any dispute (a "Dispute"), arising out of or in connection with this Agreement (including a dispute relating to the existence, validity validity, interpretation, performance, breach or termination of this Agreement or the consequences of its nullity and any non-dispute relating to any non- contractual obligation arising out of or in connection with this Agreement) (a "Dispute") and accordingly each of the Issuer, the Guarantor and any Noteholders, Receiptholders or Couponholder in relation to any Dispute submits to the consequences exclusive jurisdiction of its nullitythe English Courts.

English courts. The courts of England have exclusive jurisdiction to settle any dispute (a "“Dispute"”), arising out of from or in connection connected with this Agreement Deed of Covenant (including a dispute relating to regarding the existence, validity or termination of this Agreement or any non-contractual obligation arising out Deed of or in connection with this AgreementCovenant) or the consequences of its nullity.

English courts. The courts of England have exclusive jurisdiction to settle any dispute (a "Dispute"), arising out of or in connection with this Agreement (including a dispute Dispute relating to the existence, validity or termination of this Agreement or any non-contractual obligation obligations arising out of or in connection with the Notes, the Coupons and/or this Agreement) or the consequences of its nullity.

English courts. The courts of England have exclusive jurisdiction to settle any dispute (a "Dispute"), arising out of or in connection with this Agreement and (including a unless such document provides otherwise) any dispute relating to the existence, validity or termination of this Agreement or any non-contractual obligation arising out of or in connection with this Agreement) any other Finance Document, including a dispute involving any non-contractual obligations or the consequences of regarding its nullityexistence, validity or termination (a Dispute).

The courts of England have exclusive jurisdiction to settle any dispute (a "Dispute"), arising from or connected with this Agreement, whether arising out of or in connection with this Agreement contractual or non-contractual obligations, (including a dispute relating to regarding the existence, validity or termination of this Agreement or any non-contractual obligation arising out of or in connection with this Agreement) or the consequences of its nullity.

The courts of England have exclusive jurisdiction to settle any dispute disputes (a "Dispute"), arising out of from or in connection connected with this Agreement Trust Deed or the Notes (including a dispute relating to regarding the existence, validity or termination of this Agreement or any of, and all non-contractual obligation obligations arising out of or in connection with with, this AgreementTrust Deed or the Notes) or the consequences of its their nullity.
