ENGINEERING AND CONSTRUCTION REQUIREMENTS. All elements of design, engineering and construction of the System are Seller’s responsibility. Seller shall design, engineer and construct the System in accordance with the engineering and construction requirements set forth on Exhibit 6-1 hereto (the “Engineering and Construction Requirements”) and timelines for milestones set forth on Exhibit 8 (the “Milestones”).
ENGINEERING AND CONSTRUCTION REQUIREMENTS. 3.1 All elements of engineering, construction and installation of the applicable Generating Facilities and compliance with all state, local and utility requirements are Seller’s sole responsibility, provided that Buyer cooperates in good faith with Seller to satisfy the local and state requirements and those of the Local Electric Utility.

ENGINEERING AND CONSTRUCTION REQUIREMENTS. All elements of engineering and construction of RPG Systems are Seller’s responsibility. Seller shall provide services as described herein and pursuant to Attachment 5 – Engineering and Construction Requirements. Seller shall establish mutually agreeable milestones with the Buyer to complete al Work in this Agreement. Seller shall provide bi-weekly status reports throughout this phase, as well as any additional briefing requested by Xxxxx. Seller will create, maintain and provide to Buyer, minutes of meetings between Xxxxx’s representatives and Seller’s Project Management Team. CEQA Compliance Compliance with the California Environmental Quality Act (“CEQA”), Pub. Res. Code § 21000 et seq., is a condition precedent to the Buyer’s obligations under this Agreement. The Seller shall not have any right to install the System until the Buyer has fully complied with CEQA and issued a notice to proceed to Seller. Xxxxx agrees to begin the initial analysis within ten (10) days after the effective date of this Agreement. If that analysis indicates that an exemption or negative declaration will suffice, then Xxxxx will proceed to complete the exemption or negative declaration in accordance with applicable law. Seller shall promptly reimburse Buyer for Buyer costs for such analysis and completion of exemption or negative declaration no later than 30 days after Xxxxx sends invoice for same to Seller. Seller shall promptly proceed to perform its obligations under this Agreement. If the Buyer determines that a mitigated negative declaration (“MND”) or environmental impact report (“EIR”) is required to comply with CEQA, then Seller shall be responsible for paying Buyer all costs associated with preparing the MND or EIR and complying with CEQA, including but not limited to environmental consultant costs and implementation of any feasible mitigation measures or alternatives the Buyer determines is needed to mitigate or avoid the project’s potentially significant environmental impacts. Buyer shall notify Seller of its determination that an MND or EIR is required, and the estimated costs and timing of preparing the MND or EIR. If after such notice, the Seller determines not to proceed, then this Agreement shall terminate and neither Party shall have any further obligations or liability to the other. Such a determination not to proceed on the part of the Seller may only be reasonably based on the exceptional costs associated with the MND or EIR and mitigation measures or alter...

  • Construction Requirements a) All Life and Safety and applicable Building Codes will be strictly enforced (i.e., tempered glass, fire dampers, exit signs, smoke detectors, alarms, etc.). Prior coordination with the Building Manager is required.

  • Design and Construction In complying with the requirements of the specification both with respect to arrangement and detail, design is to conform to the best current engineering practice. Each of the several parts of the material is to be of the maker’s standard design provided that this design is in general accordance with the specification. The essence of design should be simplicity and reliability in order to give long continuous service with high economy and low maintenance cost. Particular attention should be paid to internal and external access in order to facilitate inspection, cleaning and maintenance. The design dimensions and materials of all parts are to be such that they will not suffer damage as a result of stresses under the most severe conditions. Fully detailed specifications of the several parts of the material are to be submitted describing particularly the materials to be used. The materials used in the construction of the material are to be of the highest quality and selected particularly to meet the duties required of them. Mechanisms are to be constructed to avoid sticking due to rust or corrosion. Workmanship and general finish are to be of the highest class throughout. All similar parts of the material are to be interchangeable. All equipment is to operate without undue vibration and with the least possible amount of noise and is not to cause a nuisance. All equipment is to be designed to minimize the risk of fire and any damage, which may be caused in the event of fire. The equipment is also to be designed to prevent ingress of all vermin, accidental contact with live parts and to minimize the ingress of dust and dirt. The use of materials, which may be liable to attack by termites or other insects, is to be avoided.

  • SUPERVISION AND CONSTRUCTION PROCEDURES 4.3.1 The Contractor shall supervise and direct the Work, using his / her best skill and attention. The Contractor shall be solely responsible for all construction means, methods, techniques, sequences and procedures and for coordinating all portions of the Work under the Contract. All aspects of the Project shall be subject to the inspection and approval of the State. Contractor guarantees to repair, replace, re-execute or otherwise correct any defect in workmanship, materials, or the like that fails to conform to the requirements of this Contract or that appears during the progress of the Work or within one year of final acceptance by the State.

  • Interconnection Facilities Engineering Procurement and Construction Interconnection Facilities, Network Upgrades, and Distribution Upgrades shall be studied, designed, and constructed pursuant to Good Utility Practice. Such studies, design and construction shall be based on the assumed accuracy and completeness of all technical information received by the Participating TO and the CAISO from the Interconnection Customer associated with interconnecting the Large Generating Facility.

  • Technical and Interconnection Requirements 2.1 Consumer agrees that his Rooftop Solar PV System and Net Metering System will conform to the standards and requirements specified in the Policy, Regulations and Supply Code as amended from time to time.
