Employment Status and Termination. The Company is an “at-will” employer. This means that you may terminate your employment with the Company at any time and for any reason whatsoever simply by notifying Proofpoint. Likewise, the Company may terminate your employment at any time, for any reason, with or without cause or advance notice, subject to the severance and acceleration provisions set forth in this Agreement.

Employment Status and Termination. (a) The Consultant’s employment with the Company shall terminate as of April 24, 2006 (the “Separation Date”). Except as set forth herein, the Employment Agreement and the Term (as defined therein) shall terminate on the Separation Date.

This section shall not apply following a Change in Control.
