Common use of Employment Law Matters Clause in Contracts

Employment Law Matters. (a) With respect to the Business, to Seller's Knowledge (i) the Seller is in compliance with all applicable Laws respecting employment, employment practices, terms and conditions of employment, wages and hours and the employment of aliens or similar immigration matters except where such non-compliance would not have a material adverse effect on the Business or the transactions contemplated by this Agreement or the other Transaction Documents; and (ii) the Seller is not engaged in any unfair labor practice.

(a) With respect to To the Businessactual knowledge of Seller, to Seller's Knowledge the Seller (i) the Seller is in compliance with all applicable Laws laws respecting employment, employment practices, terms and conditions of employment, employment and wages and hours with respect to the conduct of the Business; (ii) is in compliance with all applicable laws and regulations relating to the employment of aliens or similar immigration matters except where such non-compliance would not have a material adverse effect on with respect to the Business or conduct of the transactions contemplated by this Agreement or the other Transaction DocumentsBusiness; and (iiiii) the Seller is not engaged in any unfair labor practice, including, but not limited to, discrimination or wrongful discharge with respect to the conduct of the Business.
