EMPLOYMENT EFFORTS. Employee shall work such necessary time for the Company, and shall devote Employee's full time and attention to the performance of Employee's obligations under this Agreement at such times as engaged therein. Employee shall use his best efforts to promote the success of the Company's business interests.

EMPLOYMENT EFFORTS. During the term of this Agreement, and excluding any periods of vacation and sick leave to which Officer is entitled under the policies of the Company or Related Entity, Officer shall devote substantially all his business time, attention, skills and efforts exclusively to the business and affairs of the Company or Related Entity in the capacity as described in the Employment Agreement, other than reasonably determined amounts of time devoted to (i) serve on corporate, civic or charitable boards or committees, (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, (iii) manage personal investments and (iv) perform such other activities not related to the Company or Related Entity as the Board may approve in writing. To the extent that any such activities are either (i) conducted by Officer and disclosed to the Board prior to the Effective Date or (ii) approved by the Board prior the date of a Corporate Event, the continued conduct of such activities (or the conduct of activities similar in nature and scope thereto) shall not thereafter be deemed to interfere with the performance of Officer's responsibilities to the Company or Related Entity.
